MISCELLANEOUS VCC FORM — GENERAL BUSINESS AGREEMENT

WHEREAS

WHEREAS, Client requires certain consulting, development, or related services described herein and desires to engage Provider to perform such services on the terms and conditions set forth in this Agreement; and

WHEREAS, Provider represents that it has the necessary experience, personnel, and capability to provide the services described in this Agreement and agrees to perform such services in a professional and workmanlike manner consistent with industry standards; and

WHEREAS, the parties desire to set forth the terms under which Provider will perform the work and Client will compensate Provider.

SCOPE OF WORK

Provider shall perform the services and deliverables described below. Provider will provide work in accordance with the specifications, schedules, and performance standards agreed by the parties.

PAYMENT TERMS

Client shall pay Provider for the services in accordance with the following terms. All amounts are payable in lawful currency unless otherwise agreed in writing.

Invoices are due within days of invoice date. Late payments shall accrue interest at a rate of % per month, or the maximum rate permitted by applicable law, whichever is lower. Client shall also reimburse Provider for reasonable costs of collection, including attorney fees and court costs.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive or have access to confidential information of the other party ("Confidential Information"). Confidential Information shall include non-public business information, technical data, trade secrets, pricing, customer lists, and other proprietary information. Each party agrees to: (a) treat Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) use Confidential Information only for the purposes of performing under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, independently developed without use of the disclosing party's Confidential Information, or lawfully obtained from a third party without restriction. Upon termination or written request, receiving party shall promptly return or destroy Confidential Information and certify such return or destruction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties below, without regard to conflict of law principles. Governing State:

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses, damages and expenses arising out of the indemnifying party's breach of this Agreement, willful misconduct or gross negligence. Except for claims arising from a party’s gross negligence, willful misconduct, or indemnification obligations, in no event shall either party be liable for consequential, incidental, exemplary, special or punitive damages, and each party’s aggregate liability shall be limited to direct damages up to the amount actually paid to Provider under this Agreement during the twelve (12) months preceding the claim.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendments or modifications to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person, by nationally recognized overnight courier, or by certified mail (return receipt requested) to the addresses set forth in the introductory paragraph or to such other address as either party may designate by notice to the other.

ADDITIONAL PROVISIONS

Relationship of the Parties: Provider is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture or employer-employee relationship. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a change of control. Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
