Recitals

WHEREAS, Service Provider: is in the business of providing technical, operational and support services described below; and

WHEREAS, Client: desires to retain Service Provider to perform certain services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that the services be delivered in accordance with the Scope of Work and Payment Terms set forth herein.

Scope of Work

Deliverables, acceptance criteria, milestones, and any required approvals shall be set forth in the Scope of Work above or in written appendices signed by both parties. Any material change to the Scope of Work shall require a written change order executed by authorized representatives of both parties.

Payment Terms

Invoices shall be submitted in writing and shall become due and payable within the time specified in the Payment Schedule. If payment is not received when due, Service Provider may suspend performance after providing written notice and the Client shall be responsible for reasonable collection costs and interest as specified above.

Term and Termination

This Agreement commences on the Start Date: and, unless earlier terminated in accordance with this Section, shall continue until End Date: .

Either party may terminate this Agreement for convenience upon providing the other party the notice period set forth above. Either party may terminate immediately for material breach that is not cured within thirty (30) days after written notice. Termination shall not relieve Client of the obligation to pay for Services performed and expenses incurred prior to the effective date of termination.

Confidentiality

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in written, oral or electronic form that is designated as confidential or that reasonably should be understood to be confidential. Each receiving party shall (a) use Confidential Information only to perform its obligations under this Agreement; (b) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; and (c) not disclose Confidential Information to any third party except to those employees, contractors or advisors who have a need to know and are bound to protect such information.

Confidential Information does not include information that (i) is or becomes publicly available through no fault of the receiving party, (ii) was known to the receiving party prior to disclosure, (iii) is rightfully received from a third party without restriction, or (iv) is independently developed by the receiving party without use of Confidential Information. Confidentiality obligations shall survive termination of this Agreement for .

Intellectual Property and Work Product

Unless otherwise agreed in writing, Service Provider retains ownership of its pre-existing materials, tools, methodologies and know-how. To the extent the parties intend assignment of deliverables, the parties shall document specific assignments in writing. Client is granted a non-exclusive, non-transferable right to use the deliverables for Client's internal business purposes upon full payment of all amounts due.

Representations; Indemnity

Each party represents that it has the authority to enter into this Agreement. Service Provider represents that the services will be provided in a professional manner consistent with industry standards. Each party shall indemnify and hold harmless the other party from third party claims arising from the indemnifying party's breach of its representations or willful misconduct, subject to any limitations of liability set forth in a written addendum.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located within that State for resolution of disputes.

Entire Agreement; Amendment

This Agreement, including any attachments and written change orders, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
