MISCELLANEOUS WATER KIT AGREEMENT

This Miscellaneous Water Kit Agreement (the Agreement) is entered into as of by and between:

WHEREAS, Service Provider develops, supplies, and may install water testing and/or treatment kits including components, consumables, instructions, and supporting documentation (the Water Kit); and

WHEREAS, Client desires to obtain, purchase, or license a Miscellaneous Water Kit identified as Model/Description: , quantity: , on the terms and conditions set forth herein; and

WHEREAS, the parties agree to the scope, payment, delivery, confidentiality, and other terms in this Agreement.

Scope of Work

Service Provider shall supply and, if selected, install the Water Kit, perform required testing setup, and deliver documentation in accordance with acceptance criteria. Detailed description:

Acceptance criteria: Client will inspect delivered kits within business days and shall provide written notice of non-conformance if items do not conform to the Scope of Work. Absent timely notice, kits shall be deemed accepted.

Payment Terms

Client shall pay Service Provider the Total Amount of:

Unless otherwise stated, invoices are due within days of invoice date. Late payments shall accrue interest at the lesser of % per month or the maximum allowed by law, and a late fee of USD may be charged for past due invoices.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach that remains uncured for days after written notice specifying the breach.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information). Confidential Information does not include information that is (a) publicly available through no fault of the receiving party; (b) rightfully received from a third party without restriction; or (c) independently developed without use of the disclosing party's Confidential Information.

The receiving party shall not disclose Confidential Information except to its employees, contractors, or advisors who need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. Upon termination, the receiving party shall return or destroy Confidential Information as requested.

Warranties and Limitation of Liability

Service Provider warrants that, at the time of delivery, the Water Kit will substantially conform to the description set forth in the Scope of Work and be free from material defects for a period of days from acceptance. The sole and exclusive remedy for breach of this warranty shall be repair, replacement, or refund, at Service Provider's election. EXCEPT FOR THE EXPRESS WARRANTY STATED ABOVE, THE SERVICES AND KITS ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Neither party shall be liable to the other for consequential, incidental, special, punitive, or exemplary damages, except for liability arising from gross negligence, willful misconduct, or a party's breach of its confidentiality obligations. Aggregate liability shall not exceed the amounts actually paid by Client under this Agreement in the twelve (12) months preceding the claim.

Indemnification

Each party shall defend, indemnify, and hold harmless the other party from and against claims, liabilities, losses, damages, and expenses arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement, provided that the indemnified party gives prompt written notice and reasonable cooperation in defense of any claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles that would result in the application of the laws of any other jurisdiction.

Entire Agreement

This Agreement (including all exhibits and attachments) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Notices shall be in writing and delivered to the addresses set forth above by certified mail, overnight courier, or hand delivery. If any provision is held invalid, the remaining provisions shall remain in force. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest.
