WHEREAS

WHEREAS, Client desires to engage Contractor to perform certain consulting, development, or other business services as set forth herein; and

WHEREAS, Contractor represents that it has the qualifications, experience and ability to perform such services on the terms and conditions of this Agreement; and

PAYMENT TERMS

Client shall pay Contractor for performance of the Scope of Work in accordance with the following payment provisions. All payments are in United States dollars unless otherwise agreed in writing.

Invoices submitted by Contractor are payable within the period specified in the Payment Schedule. Overdue amounts shall accrue interest at the rate specified above and Client shall reimburse reasonable collection costs and attorneys' fees for delinquent amounts.

TERM AND TERMINATION

This Agreement shall commence on , and shall continue until , unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period set forth above. Termination shall not relieve Client of its obligation to pay for services performed prior to the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means non-public business or technical information disclosed in any form and identified as confidential or that reasonably should be understood to be confidential.

The recipient shall (i) hold Confidential Information in confidence, (ii) not disclose it to third parties except as permitted in this Agreement, and (iii) use it only to perform obligations under this Agreement. The confidentiality obligations shall continue for following termination or expiration of this Agreement, except as otherwise required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict-of-law principles. Venue for any dispute shall be in the state or federal courts located in that state.

ADDITIONAL PROVISIONS

Entire Agreement: This Agreement, including any exhibits and attachments, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, proposals and communications.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Contractor may assign receivables.

Amendments: Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses specified below or to such other address as either party may specify by notice to the other.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full right, power and authority to enter into and perform this Agreement and that execution and performance will not violate any applicable law, contract or third-party right.
