MISCELLANEOUS WINDOW ALLOWANCE FORM

This Miscellaneous Window Allowance Form ("Agreement") is entered into between Client Name: and Contractor Name: on Effective Date:

WHEREAS

WHEREAS, Client Name represents that Client is the owner or authorized representative of the real property located at: (the "Property"); and

WHEREAS, Contractor Name is engaged in the business of supplying and installing windows and related materials and has agreed to provide services subject to a window allowance as set forth herein.

SCOPE OF WORK

Contractor shall supply and/or install windows, trim, seals and accessories as described below. Client and Contractor acknowledge that the allowance covers materials only as specifically stated; installation, permits, disposal and other services are addressed separately in Payment Terms and this Agreement.

ALLOWANCE SCHEDULE

The parties agree the following itemized allowances constitute the total window allowance budget for the identified Scope of Work. Allowances listed are maximum amounts per line item and will be reconciled to invoices and receipts.

PAYMENT TERMS

Allowance funds are disbursed in partial payments upon presentation of invoices and required documentation. Contractor shall submit itemized invoices referencing this Agreement. The parties agree to the following payment schedule:

All payments shall be made upon receipt of properly documented invoices. Client may withhold amounts disputed in good faith pending resolution, provided Client gives written notice describing the basis for the dispute within ten (10) days of receipt of the invoice.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause if the other party materially breaches a contractual obligation and fails to cure such breach within days after receipt of written notice describing the breach. Upon termination, Contractor shall be compensated for work properly performed and documented up to the termination date, subject to setoff for any amounts properly withheld under this Agreement.

CONFIDENTIALITY

Each party shall treat non-public business information disclosed under this Agreement as confidential and shall not disclose such information to third parties except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein. Confidential information does not include information that is or becomes generally known to the public through no fault of the receiving party, or that the receiving party can demonstrate was already known by lawful means prior to disclosure.

WARRANTIES AND REPRESENTATIONS

Contractor represents that materials supplied under this Agreement will conform to the applicable allowances and specifications set forth in the Scope of Work. Except as expressly provided in this Agreement, Contractor disclaims all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and referenced exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. This Agreement may be amended only by a written instrument signed by both parties.

ADMINISTRATIVE PROVISIONS

Contractor shall obtain and maintain all permits and approvals required by applicable law for the performance of the work unless otherwise agreed in writing. Client shall not be liable for amounts in excess of the Total Allowance unless Client expressly agrees in writing to additional costs.

ACKNOWLEDGMENT

By signing below, the parties acknowledge and agree that the Allowance Schedule and Payment Terms govern the treatment of materials and payments related to window products covered by this Agreement. Contractor shall provide invoices, receipts and any manufacturer warranties as necessary to substantiate allowance expenditures and to enable final reconciliation at the conclusion of the work.
