WHEREAS, Client desires to furnish certain news, photographs, audio, video and other content (the "Content") for distribution via Wire Service's distribution networks and subscriber base under the terms of the Master Agreement and this Exhibit; and

WHEREAS, Wire Service has the systems, channels, and business relationships necessary to disseminate the Content to third-party subscribers, affiliates and licensees in accordance with the specifications set forth below; and

Each party agrees to maintain in confidence all Confidential Information disclosed by the other party and to use such Confidential Information solely to perform its obligations under this Exhibit. Confidential Information does not include information that is or becomes publicly known through no breach of this Exhibit, or is lawfully received from a third party without restriction. The confidentiality obligation shall survive for years from the date of disclosure.

Indemnification & Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from its breach of representations, warranties or obligations under this Exhibit, or from the Content it provides. Except for willful misconduct or gross negligence, neither party's aggregate liability under this Exhibit shall exceed the total fees paid by Client to Wire Service under this Exhibit in the twelve (12) months preceding the claim.

Governing Law

This Exhibit shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. Exclusive venue for any dispute arising under this Exhibit shall be the federal or state courts located in .

Entire Agreement; Amendments
