MISCELLANEOUS WORK ORDER AGREEMENT

RECITALS

WHEREAS, Client Name: requires certain services and deliverables described in this Work Order; and

WHEREAS, Contractor Name: possesses the expertise and resources to perform the described services and is willing to perform such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

TERM AND TERMINATION

This Work Order commences on and will end on unless earlier terminated in accordance with this Agreement.

Either party may terminate for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within a commercially reasonable time not to exceed 30 days following written notice.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all nonpublic information disclosed by either party in connection with the performance of this Work Order, including business plans, technical data, designs, trade secrets, customer lists, pricing, and other proprietary information. Confidential Information does not include information that (i) is or becomes generally available to the public other than as a result of a breach of this Agreement, (ii) is rightfully received from a third party without restriction, (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information, or (iv) is required to be disclosed by law or court order (provided prompt notice is given to allow for protective measures).

The receiving party shall hold in confidence and not disclose or use Confidential Information except as necessary to perform its obligations under this Work Order. The receiving party shall use at least the same degree of care in protecting Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Remedies at law may be inadequate for breach of this Section, and the disclosing party shall be entitled to injunctive relief and specific performance in addition to other remedies.

CHANGE ORDERS

Any change to the Scope of Work, schedule, or compensation must be documented in a written change order signed by authorized representatives of both parties. No oral statements or email confirmations shall modify this Work Order unless reduced to a signed writing.

INSURANCE AND INDEMNIFICATION

Contractor shall maintain at its expense commercial general liability and workers' compensation insurance in amounts customary for the industry and sufficient to cover its obligations under this Work Order. Contractor shall indemnify, defend, and hold harmless Client from and against claims arising from Contractor's negligence or willful misconduct in performance of the services, subject to any limitations set forth in a separate agreement between the parties.

GOVERNING LAW

This Work Order shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Work Order, together with any documents expressly incorporated herein by written reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. If there is a conflict between the terms of this Work Order and any other agreement between the parties, the other agreement shall govern only to the extent it is expressly identified in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Work Order is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Work Order without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets.
