MISCELLANEOUS WORKING ORDER CLAUSE

This Working Order Clause is entered into as of by and between (hereinafter "Client") and (hereinafter "Contractor").

WHEREAS

WHEREAS, the Client and Contractor are parties to an underlying agreement governing the provision of services and work orders between the parties (the "Underlying Agreement");

WHEREAS, the parties desire to issue this Working Order Clause to set forth instructions, scope, payment, and administrative procedures applicable to a specified work assignment issued under the Underlying Agreement;

WHEREAS, to the extent of any conflict between the terms of this Working Order Clause and the Underlying Agreement, the parties intend the terms of this Working Order Clause to operate as provided in the Term and Priority provisions below.

1. SCOPE OF WORK

The Contractor shall perform the services and deliver the deliverables described in this Working Order Clause in accordance with the standards of performance set forth herein and in the Underlying Agreement.

2. PAYMENT TERMS

Compensation for the Work performed under this Working Order Clause shall be as set forth below. Contractor shall submit invoices in accordance with the schedule below and shall provide sufficient supporting documentation as reasonably requested by Client.

3. TERM AND TERMINATION

This Working Order Clause shall commence on the Start Date and, unless earlier terminated in accordance with this section, shall expire on the End Date.

4. CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public technical, financial, business, and operational information disclosed in connection with the performance of this Working Order Clause.

The obligations in this section shall survive termination or expiration of this Working Order Clause for a period of years, except as otherwise required by law or as mutually agreed in writing.

5. PRIORITY; MODIFICATION

This Working Order Clause is issued pursuant to and governed by the Underlying Agreement. To the extent of any express conflict between the terms of this Working Order Clause and the Underlying Agreement, the parties agree that the terms of this Working Order Clause shall take precedence for the specific work identified herein to the extent expressly stated. All other terms of the Underlying Agreement remain in full force and effect.

No amendment to this Working Order Clause shall be effective unless in writing and signed by authorized representatives of both parties.

6. REPRESENTATIONS; WARRANTIES

Each party represents that it has the full power and authority to enter into this Working Order Clause and to perform its obligations hereunder. Contractor warrants that services will be performed in a professional and workmanlike manner consistent with industry standards and the express requirements of this Working Order Clause.

7. NOTICES

Notices required or permitted under this Working Order Clause shall be in writing and delivered to the address for each party set forth below or to such other address as either party designates in writing.

8. GOVERNING LAW

This Working Order Clause shall be governed by and construed in accordance with the laws of the State of without regard to choice of law rules that would apply the laws of another jurisdiction.

9. ENTIRE AGREEMENT

This Working Order Clause, together with the Underlying Agreement as referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

MISCELLANEOUS PROVISIONS

If any provision of this Working Order Clause is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.
