MISCELLANEOUS WPN ADDENDUM

This Miscellaneous WPN Addendum (the "Addendum") is entered into effective as of by and between:

WHEREAS

WHEREAS, Client Name: and Provider Name: previously entered into a Master Agreement dated (the "Master Agreement");

WHEREAS, the parties desire to amend and supplement the Master Agreement to address Work Product Notification ("WPN") procedures, deliverable acceptance, and payment adjustments as set forth in this Addendum; and

WHEREAS, the parties agree that this Addendum will govern with respect to WPN matters to the extent it conflicts with the Master Agreement.

1. SCOPE OF WORK (WPN)

WPN Submission: Provider shall submit written Work Product Notices (WPNs) to Client specifying deliverable identification, version, and submission date. Client shall have a review period of calendar days to accept or provide material objections in writing. If Client fails to timely object, the WPN deliverable shall be deemed accepted.

2. PAYMENT TERMS

All payments due under this Addendum shall be paid in United States dollars. Provider shall invoice Client upon acceptance of each WPN deliverable. Client shall remit undisputed amounts within days of receipt of a proper invoice. Disputed amounts must be described in writing and will be resolved in good faith.

Either party may terminate this Addendum for convenience upon written notice to the other party no less than days prior to the effective termination date. Either party may terminate immediately for material breach if the breach is not cured within days after receipt of written notice describing the breach.

Upon termination, Client shall pay Provider for all accepted WPN deliverables performed and reasonable, documented costs incurred through the effective date of termination. Provider shall deliver all work in progress and cooperate with transition activities.

4. CONFIDENTIALITY

Each party shall hold in confidence and not disclose the other party's Confidential Information. "Confidential Information" includes WPN content, pricing, commercial terms, and all proprietary technical and business information disclosed in connection with this Addendum. Confidential Information does not include information that:

  1. is or becomes publicly known through no breach of this Addendum;
  2. is received from a third party without breach of any obligation of confidentiality; or
  3. is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information to its employees, contractors, and advisers with a need to know, provided such persons are bound by confidentiality obligations no less protective than this Addendum. Upon termination or request, Confidential Information shall be returned or destroyed as directed by the disclosing party.

5. INTELLECTUAL PROPERTY AND WPN RIGHTS

Unless otherwise agreed in writing, Provider assigns to Client all right, title and interest in and to deliverables accepted under a WPN to the extent created specifically for Client and paid for in full. Provider retains ownership of pre-existing materials and tools, and grants Client a non-exclusive, perpetual license to any Provider background materials embedded in deliverables solely to use the deliverable as intended.

6. REPRESENTATIONS; INDEMNITY

Each party represents that it has authority to enter this Addendum. Provider represents that accepted WPN deliverables will not infringe third-party intellectual property rights. Provider shall indemnify and hold harmless Client from losses arising from a breach of the foregoing representation, subject to the limitations set forth in the Master Agreement.

7. GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles.

8. ENTIRE AGREEMENT

This Addendum, together with the Master Agreement, constitutes the entire agreement between the parties with respect to WPN matters and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter herein. Except as expressly modified by this Addendum, all other provisions of the Master Agreement remain in full force and effect.

9. MISCELLANEOUS PROVISIONS

Notices required under this Addendum shall be given in writing to the addresses set forth in the Master Agreement or to such other addresses as a party may designate by notice. No amendment to this Addendum is effective unless in writing and signed by authorized representatives of both parties.
