Recitals

WHEREAS, Client Name: requires certain services and deliverables related to the Miscellaneous X Act as described below; and

WHEREAS, Contractor Name: has the professional capability and agrees to perform such services on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Contractor shall perform the services described above in a professional and timely manner and shall deliver all required reports, documents, and tangible items necessary to fulfill the obligations of this Agreement.

Payment Terms

Payments are due in accordance with the schedule above. Unless otherwise agreed in writing, invoices are due within days of invoice date. Late payments shall accrue interest at the rate of from the due date until paid.

All amounts payable hereunder are exclusive of taxes. Client shall be responsible for any taxes imposed on payments unless Contractor is required by law to collect such taxes, in which case Contractor will invoice and collect the same.

Term and Termination

This Agreement shall commence on the Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for 30 days after written notice of such breach.

Upon termination, Contractor shall deliver to Client all completed work products and Client shall pay Contractor for all services performed and reimbursable expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other in connection with this Agreement. The receiving party shall (i) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, (ii) not use Confidential Information for any purpose other than performance of this Agreement, and (iii) not disclose Confidential Information to any third party except as required to perform obligations hereunder or as required by law.

Confidentiality obligations shall not apply to information that (a) is or becomes publicly known through no breach of this Agreement, (b) is rightfully received from a third party without restriction, (c) is independently developed without use of Confidential Information, or (d) is required to be disclosed by law or order of a court or governmental body, provided notice is given where legally permitted.

Representations, Warranties and Indemnity

Each party represents and warrants that it has the authority to enter into this Agreement. Contractor further represents that the services will be performed in a professional manner consistent with industry standards. Contractor shall indemnify and hold harmless Client from and against any third-party claims arising from Contractor's gross negligence or willful misconduct in performing the services.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid, to the address listed for each party above or such other address as either party may designate in writing.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in that state.

Entire Agreement; Amendment

This Agreement, together with any exhibits or attachments referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. No amendment or waiver shall be binding unless in writing and signed by both parties.

Severability; Assignment

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Execution

This Agreement may be executed in counterparts, each of which shall be deemed an original, and signatures delivered by electronic means shall be binding for all purposes.
