Recitals

WHEREAS, Client Name: desires to obtain certain services and deliverables described below; and

WHEREAS, Provider Name: represents that it has the experience, personnel and resources necessary to provide such services under the terms set forth herein; and

WHEREAS, the parties wish to set forth in writing their agreement regarding the scope, payment, term and confidentiality applicable to the services to be provided.

1. Scope of Work

Provider will perform the services and deliverables described below in a commercially reasonable manner and in accordance with industry standards. The parties may attach an exhibit describing deliverable milestones, acceptance criteria, and key personnel as needed.

2. Payment Terms

Compensation for the services described in Section 1 shall be as follows.

Payments are due within days of invoice unless otherwise stated in the payment schedule. Provider shall render invoices itemizing work performed and expenses incurred.

3. Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

4. Confidentiality

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other party, whether disclosed orally, visually or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law or court order.

The receiving party shall keep confidential and shall not use or disclose Confidential Information except to perform its obligations under this Agreement. The obligations of confidentiality shall survive termination of this Agreement for a period of years, unless a longer period is required by applicable law.

5. Warranties; Liability

Provider warrants that the services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction chosen by the parties.

7. Entire Agreement; Miscellaneous

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all its assets.

The parties acknowledge that they have read this Agreement, understand its terms, and intend to be legally bound by it. Each party warrants that the individual signing below is authorized to enter into this Agreement on behalf of the party.
