What the Miscellaneous Zombie MAC Is

The Miscellaneous Zombie MAC is an administrative agreement template used to record small, residual adjustments or corrective entries related to a master agreement's material adverse change (MAC) provisions or post‑term obligations. Organizations use it to capture narrowly scoped exceptions, fee reconciliations, or legacy obligations that remain after primary contract closure. It is not a statutory filing; its form and binding effect depend on the contract language and applicable state law. When parties consent, the document may be executed electronically under the ESIGN Act or applicable state UETA provisions.

Why organizations use a Zombie MAC form

Use a Miscellaneous Zombie MAC to document narrow post‑closing adjustments and preserve clear evidence of agreed fixes. It reduces ambiguity for accounting and legal teams, supports audit trails, and — with signer consent — can be executed electronically under ESIGN/UETA for admissibility.

Why organizations use a Zombie MAC form

Who typically prepares and signs this form

Common users include contract managers, finance teams, compliance officers, and external counsel who manage post‑closing adjustments.

  • In-house legal teams: document scope, draft precise language, and retain evidence for potential disputes.
  • Finance and accounting: reconcile final payments, adjust ledgers, and preserve tax-related documentation.
  • Operations and project managers: record latent obligations, completion adjustments, and warranty extensions.

Small businesses, landlords, and developers also use abbreviated Zombie MAC forms to resolve limited post‑contract items without full amendment workflows.

Representative roles who interact with the form

Contracts Manager

As the primary drafter and reviewer, the contracts manager uses the Miscellaneous Zombie MAC to capture narrowly defined corrections or residual obligations. They ensure language aligns with the master agreement, confirm signatures, and coordinate retention policies to preserve enforceability and auditability.

CFO

Finance leaders review Zombie MAC entries to confirm monetary adjustments, sign off on reconciliations, and record implications for financial statements. They may require supporting invoices, ledger references, and approval trails to satisfy internal controls and external audit requirements.

Elements a professional Zombie MAC should include

Core parts of a professional Miscellaneous Zombie MAC include precise scope language, consideration, signatory blocks, supporting attachments, witness/notary sections when required, and retention instructions.

Scope

Define the exact items or obligations being adjusted or confirmed; include references to the original contract section, effective dates, and any limits on authority or duration of the correction.

Consideration

State monetary amounts, credits, setoffs, or non-monetary concessions. Be specific about calculation methods, payment timings, and tax treatment to reduce downstream disputes. Include bank instructions or invoice references for clarity.

Signatures

Identify authorized signatories for each party, include titles and date lines, and specify whether electronic signatures are acceptable under ESIGN/UETA; note any required witness or corporate resolution authorizations.

Supporting Docs

Attach invoices, change orders, original contract excerpts, and any calculations used to derive adjustments. Label exhibits clearly and reference each exhibit within the body text for auditability.

Notary/Witness

State whether notarization or witness signatures are required by governing state law or internal policy; include fields for acknowledgment and an area for notary seal or witness certification.

Retention

Specify retention period, location of originals, authorized custodians, and any destruction schedule. Reference applicable retention law or policy to support compliance and e‑record storage requirements.

Field Configuration
Signing Order Set signer sequence and role-based fields.

Technical and integration considerations

  • Auth Options: Email link, SMS code, SAML SSO

Common preparation mistakes to avoid

  • Vague scope language that fails to tie adjustments to specific original contract sections often creates ambiguity and enables disputes over intent and payment obligations.
  • Mismatched party names or missing titles on signature blocks can invalidate banking instructions or trigger backup withholding when TIN data is inconsistent.
  • Omitting required witness or notary steps for documents governed by state law may cause rejection by registries and hinder probate or property recording.
  • Failing to attach supporting invoices, calculations, or exhibits increases audit risk and complicates external review by auditors or regulators.

Penalties and legal risks from incorrect or incomplete forms

Tax Penalties: Potential IRC §6721 penalties for incorrect reporting.
I-9 Violations: Fines for I-9 paperwork under 8 CFR §274a.2.
Contract Disputes: Risk of breach claims and damages.
Recording Rejection: County registries may refuse recording.
Notary Defects: Improper notarization can void acknowledgement.
Intentional Disregard: High statutory penalty exposure.
