MISSION STATEMENT TEMPLATE

This Mission Statement and Services Agreement (the Agreement) is entered into by and between Party A Name: and Party B Name: . The parties hereby agree as follows.

WHEREAS

WHEREAS, Party A is engaged in the business of providing organizational identity, strategic planning, and communications services and seeks to formalize a mission statement that will guide its operations and public messaging; and

WHEREAS, Party B has expertise in facilitating mission development, stakeholder alignment, and drafting formal organizational statements and is willing to perform such services on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

SCOPE OF WORK

Party B shall perform the following services to develop, draft, and deliver a final mission statement and supporting elements for Party A. Deliverables, milestones, and acceptance criteria will be as described below.

MISSION STATEMENT COMPONENTS

The parties will collaborate to produce a concise mission statement and supporting statements. Use the fields below to define core elements that will be incorporated into the final mission statement.

PAYMENT TERMS

In consideration of the services to be rendered by Party B, Party A agrees to pay Party B as outlined below. All payments are due in accordance with this section and any applicable invoices.

TERM AND TERMINATION

This Agreement commences on the Effective Date below and continues until completion of the services unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination for convenience may be exercised on the same notice terms provided that accrued fees for work performed through the effective termination date shall be payable.

CONFIDENTIALITY

The parties acknowledge that during performance of this Agreement each may receive Confidential Information of the other. Confidential Information means non-public information disclosed in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information. Each receiving party agrees to: (a) hold Confidential Information in confidence and use it only to perform obligations under this Agreement; (b) restrict access to employees and contractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein; and (c) implement reasonable safeguards to protect Confidential Information from unauthorized disclosure.

Confidential Information does not include information that: (i) is or becomes generally known to the public without breach of any obligation owed to the disclosing party; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed by the receiving party without the use of the disclosing party's Confidential Information. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall be protected for so long as such information qualifies as a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, including all exhibits, attachments, and inputs set forth herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

The parties represent that they have the authority to enter into this Agreement. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. Headings are for convenience only and do not affect interpretation.
