MISSIONARY AGREEMENT

This Missionary Agreement ("Agreement") is entered into effective as of by and between:

RECITALS

WHEREAS, Sending Organization is a faith-based entity that sponsors and supports missionary activity and has authority to place personnel in missionary assignments in accordance with its policies and applicable law; and

WHEREAS, Missionary has represented that Missionary possesses the required qualifications, experience, and personal character to undertake the assignment described in this Agreement and desires to serve under the supervision and direction of the Sending Organization in accordance with the terms set forth below; and

WHEREAS, the parties desire to set forth their respective duties, compensation, and other terms of engagement.

SCOPE OF WORK

Assignment Location:

Missionary agrees to perform the duties described above faithfully, to abide by Sending Organization policies and local laws, to submit regular activity reports, and to comply with the code of conduct provided by Sending Organization.

PAYMENT TERMS

Support/Salary Amount: $ per month.

Overdue payments shall bear a late fee of % per month on the outstanding balance, and Sending Organization may suspend support after written notice if payments remain overdue for more than days.

Taxes: Missionary is solely responsible for reporting and paying all personal income taxes and social contributions required by applicable law in Missionary's country of residence or citizenship unless Sending Organization expressly agrees in writing to withhold or pay specific taxes.

TERM AND TERMINATION

Either party may terminate this Agreement without cause by giving written notice to the other party at least days prior to the intended termination date.

Immediate termination for cause may occur in the event of material breach, criminal conviction, conduct that jeopardizes the safety or reputation of Sending Organization or third parties, failure to obtain required visas or immunizations, or repeated violation of policies. Upon termination, Missionary must cooperate in orderly transfer of responsibilities and return organizational property.

CONFIDENTIALITY

Missionary shall hold in strict confidence any non-public information acquired during the term of this Agreement concerning the Sending Organization, its donors, partners, beneficiaries, financial affairs, personnel records, and program strategies ("Confidential Information"). Confidential Information shall not be disclosed except as required by law or with prior written authorization. This obligation survives termination for a period of five (5) years, except with respect to trade secrets which shall remain protected for as long as such information constitutes a trade secret under applicable law.

INSURANCE, HEALTH & COMPLIANCE

Missionary is required to maintain health and travel insurance meeting the minimum requirements provided by Sending Organization. Sending Organization shall indicate whether it will provide coverage in whole or in part: Sending Organization provides coverage Missionary provides own coverage

Background checks, child protection clearances, and immunizations required by Sending Organization or the host country must be completed prior to deployment. Missionary certifies that all information provided in support of such checks is true and complete.

INDEMNIFICATION

Each party shall indemnify and hold harmless the other party and its officers, directors, agents and employees from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of the indemnitee's gross negligence or willful misconduct. Missionary shall not be indemnified for losses resulting from Missionary's intentional or criminal acts.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located therein for resolution of disputes arising under this Agreement, subject to any mandatory forum provisions of applicable law.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any written attachments or addenda expressly incorporated herein, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior or contemporaneous agreements, understandings, and representations, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder shall remain in effect. No waiver of any breach shall constitute a waiver of any other breach. The parties are independent contractors and nothing in this Agreement creates an employment relationship, partnership or joint venture unless expressly stated in writing.
