MISSIONARY SERVICES AGREEMENT

This Missionary Services Agreement ("Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Organization is a religiously affiliated nonprofit that supports and deploys personnel for religious and humanitarian work in designated mission fields; and

WHEREAS, Missionary has represented that Missionary possesses the skills, experience, and doctrinal alignment necessary to perform missionary services in the mission field described herein, and is willing to serve subject to the terms and conditions of this Agreement; and

WHEREAS, Organization desires to engage Missionary to perform missionary services and Missionary accepts such engagement on the terms set forth in this Agreement.

SCOPE OF WORK

Missionary shall provide religious, charitable, educational, and outreach services as directed by Organization in the mission location indicated below. Missionary shall perform duties consistent with Organization's doctrines, policies, and the job description provided at the outset of deployment.

PAYMENT TERMS

Organization shall compensate Missionary for services and support expenses as set forth below. Payment is not a salary in exchange for secular employment but support to enable Missionary's mission activities.

Late payments shall incur interest at the rate of on overdue balances, calculated monthly, to the extent permitted by applicable law.

TERM AND TERMINATION

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for any reason upon providing written notice to the other party no fewer than days prior to the effective termination date. Organization may terminate immediately for cause, including but not limited to material breach, loss of required clearances, or conduct contrary to Organization's doctrines or policies.

CONFIDENTIALITY

Missionary shall hold in strict confidence and shall not disclose to any third party any confidential information of Organization, its partners, or beneficiaries acquired in the course of performance, except as required by law or with prior written consent. Confidential information includes, without limitation, donor information, beneficiary data, financial records, and internal policies.

Missionary acknowledges and agrees to comply with Organization's confidentiality policies and procedures and certifies that Missionary will take reasonable measures to protect confidential information from unauthorized disclosure.

INSURANCE, HEALTH, AND SAFETY

Missionary shall maintain, at Missionary's expense unless otherwise agreed in writing, appropriate health, travel, and liability insurance covering activities under this Agreement. Organization shall notify Missionary of any minimum insurance requirements; Missionary shall provide certificates of insurance upon request.

REPORTING AND ACCOUNTABILITY

Missionary shall submit program and financial reports to Organization in the form and frequency specified below. Reports must be accurate, complete, and submitted within the timeframes stated.

COMPLIANCE, BACKGROUND CHECKS, AND REPRESENTATIONS

Missionary represents and warrants that Missionary shall comply with all laws, regulations, and Organization policies applicable to the performance of services hereunder. Missionary consents to and will cooperate with criminal background checks, child-protection screening, and other clearances required by Organization or local authorities.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend, and hold harmless the other party, its officers, directors, employees and agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's negligent acts, willful misconduct, or material breach of this Agreement, except to the extent such claims arise from the indemnified party's own negligence or willful misconduct.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation; if unresolved, disputes shall be submitted to mediation prior to any litigation.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment, modification, or waiver shall be effective unless executed in writing by both parties.

MISCELLANEOUS

Missionary acknowledges that Missionary's status under this Agreement is that of an independent contractor or mission worker as defined by Organization policy; this Agreement does not create an employer-employee relationship for purposes of employment law unless otherwise expressly agreed in writing.

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to any other address specified in writing by either party.
