What a Mixed Use Development Agreement Covers

A Mixed Use Development Agreement is a legally binding contract that sets rights and obligations for a project combining residential, commercial, and often public-use elements on a single site. It allocates responsibilities for land use approvals, phasing, infrastructure contributions, design standards, and allocation of common areas. Typical provisions address land dedication, off-site improvements, utility extensions, entitlement milestones, timing for certificate of occupancy, cost-sharing mechanisms, and dispute resolution. The agreement guides relationships among developers, landlords, tenants, lenders, and public authorities throughout planning, construction, and long-term operation of the mixed-use property.

Why a Formal Agreement Matters for Mixed-Use Projects

A formal Mixed Use Development Agreement reduces ambiguity on entitlements, responsibilities, financing, and phasing, enabling coordinated approvals and clearer risk allocation among public bodies, developers, lenders, and tenants.

Why a Formal Agreement Matters for Mixed-Use Projects

Who Typically Prepares and Signs These Agreements

Parties rely on this document to coordinate permits, infrastructure commitments, timing, and financial obligations over the project lifecycle.

  • Municipal Planning Departments and Councils that approve entitlements and set public improvement terms.
  • Private Developers and Sponsors who finance, design, and build the mixed-use project on a phased schedule.
  • Lenders, Investors and Major Tenants requiring protections, performance guarantees, and covenants affecting financing.

Essential Sections to Expect in the Agreement

A professional Mixed Use Development Agreement groups obligations by entitlement, phasing, infrastructure, financing, risk allocation, and governance to ensure clarity for public and private stakeholders.

Site Plan

Defines permitted uses, building envelopes, public spaces, and exhibit-level drawings that anchor development standards and future site changes.

Phasing

Sets milestones, sequencing, and responsibilities for each construction phase, including triggers for public improvements and occupancy certificates.

Infrastructure

Specifies required public and private improvements, cost-sharing, timing, maintenance obligations, and acceptance terms for utilities and roadways.

Parking & Access

Allocates parking requirements, management plans, shared parking formulas, and loading access to support mixed uses across peak periods.

Financing

Covers lender protections, escrow arrangements, developer guarantees, impact fee credits, and mechanisms for assessing special taxes or bonds.

Governance

Establishes dispute resolution, amendment procedures, regulatory compliance, reporting duties, and assignment or transfer restrictions.

Step-by-Step: Preparing and Executing the Agreement

Follow a structured workflow from drafting through approval, signing, and recording to keep stakeholders aligned and maintain enforceability.

  • 01
Draft: Assemble exhibits, legal descriptions, and financing terms for initial review.
  • 02
Public Review: Submit to planning department and stakeholders for comment and required hearings.
  • 03
Finalize Terms: Incorporate public conditions, lender requirements, and signatory approvals into the final document.
  • 04
Execute and Record: Obtain signatures, notarization if required, and record with the county recorder where applicable.

Digital Workflow Settings to Configure

Configure the online signing sequence and authentication to match legal and lender requirements before sending the agreement for signature.

Field Configuration
Upload Document Use final PDF with exhibits flattened to prevent later edits.
Place Signature Fields Assign signer roles; lock fields once positioned to prevent accidental changes.
Authentication Method Select email link, SMS code, or KBA per the signatory and legal requirements.
Routing Order Set sequential signing for lenders, then developer, then public official, if required.

Where to File or Send the Executed Agreement

Knowing the correct recipients and filing locations ensures the agreement's legal effect and protects priority for liens and permits.

  • County Recorder: Record the executed agreement or covenant to protect priority and give constructive notice.
  • Planning Department: Deliver final executed copy to the local planning or community development office for permit linkage.
  • Lender's Counsel: Provide fully executed originals to lender counsel for loan file and mortgage subordination reviews.
  • Title Company: Supply executed agreement for title clearance and to update title commitments or owner policies.

Common Timeframes and Milestones to Track

Mixed-use agreements typically include specific dates and performance windows that trigger rights, obligations, and potential default.

Entitlement Approval Deadline:

Target date for securing rezones, variances, and development permits.

Phasing Commencement Date:

Start date for construction of phase one per the approved schedule.

Infrastructure Completion:

Deadline for public improvements required before occupancy or final acceptance.

Match authentication strength to lender, public agency, and recordation requirements; maintain an audit trail for attribution and retention.

  • Integrations: Salesforce, NetSuite, Box, Procore and other systems for document routing and storage.
  • File Formats: PDF and DOCX accepted; use a final PDF for recording and long-term preservation.
  • Authentication: Email link, SMS code, or advanced signer authentication (2FA) depending on risk level.

Security and Compliance Considerations for eSigning
