Seller Obligations

Seller shall: maintain the Property in substantially the same condition; disclose known defects; provide access for inspections and showings; and promptly deliver all offers to Seller. Seller authorizes Broker to present offers and communicate with prospective buyers, cooperating brokers, and escrow or closing agents.

Termination; Default; Remedies

This Agreement terminates on the Termination Date unless extended in writing. If Seller materially defaults in Seller's obligations, Broker may suspend services and pursue remedies available at law or equity, including recovery of commission where earned. If Broker materially defaults, Seller may terminate and pursue remedies permitted by law.

If a dispute arises concerning commission due under this Agreement, parties agree to first attempt mediation. If mediation fails, either party may seek resolution in a court of competent jurisdiction under the Governing Law provision below.

Indemnification; Miscellaneous

Seller shall indemnify and hold Broker harmless from liabilities arising from Seller's breach of representations, failure to disclose material facts, or acts or omissions of Seller. Broker's liability for any claim arising out of this Agreement shall not exceed the total commission paid to Broker under this Agreement.

This Agreement constitutes the entire agreement between the parties regarding the listing of the Property and supersedes all prior negotiations or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
