What the Mobile Point of Sale Agreement Covers

A Mobile Point of Sale Agreement is a contract that sets terms between a merchant and a mobile payments provider or reseller for accepting card, wallet, or ACH payments via a mobile device or paired card reader. It defines services, equipment custody, transaction fees, chargeback handling, security obligations including PCI scope, liabilities, data ownership, and termination rights. The agreement also describes whether software updates, device replacements, or payment gateway integrations are included and the process for onboarding, training, and technical support.

Why formalizing mobile payment terms matters

A clear Mobile Point of Sale Agreement reduces operational risk by assigning responsibilities for transactions, fraud, chargebacks, and PCI compliance, and it documents pricing, service levels, and data-handling obligations in a legally enforceable form under ESIGN and UETA when executed electronically.

Why formalizing mobile payment terms matters

Who completes and signs this agreement

Ensure the signer has authority to bind the merchant and that each party retains an executed copy for compliance, reconciliation, and potential audit purposes.

  • Small business owners who accept in-person mobile payments for retail or services.
  • Enterprise procurement or payments teams negotiating volume discounts and SLAs.
  • Independent contractors and field service providers using mobile readers for on-site payments.

Essential sections every agreement should include

A professional Mobile Point of Sale Agreement organizes risks, operational details, and revenue terms so both parties know who does what and when.

Scope of Services

Defines which payment methods, devices, and transaction types are supported, included integrations, and any geographic or merchant category limitations that affect processing.

Pricing

Lists transaction fees, interchange passthrough, monthly service charges, chargeback fees, and any discounts or volume thresholds that change pricing.

Security

Specifies PCI responsibilities, encryption standards, breach notification timelines, and whether the provider will be a PCI Service Provider or if scope reduction is offered.

Chargebacks

Outlines who handles disputes, timelines for submitting representments, applicable fees, and merchant obligations to retain receipts and supporting evidence.

Equipment

States ownership, custody, warranty coverage, replacement procedures, and return conditions for mobile readers, docking stations, and software licenses.

Termination

Describes notice requirements, data return or deletion, final settlement timing, and any porting or transition assistance after contract end.

Prepare documents: Collect EIN, bank info, and operator IDs.
  • 02
Complete form: Enter accurate contact and financial details.
  • 03
Authorize signers: Ensure signatory authority and include proof if needed.

Configuring the agreement for online completion

Key workflow settings determine how the document is presented, authenticated, and routed during e-signing.

Field Configuration

Audit Trail Enable IP, timestamp, and action logs for each signer

Digital signing and technical prerequisites

  • File formats: PDF, DOCX supported
  • Integrations: CRM or ERP connectors
  • Security: TLS 1.2/1.3, AES-256

Where to send and how routing works

The agreement should specify destinations for signed copies, who receives notices, and where settlement or dispute communications are routed.

  • Signed copies: Deliver to merchant and provider emails
  • Settlement notices: Send to designated finance contact
  • Chargeback alerts: Route to merchant dispute team
  • Support tickets: Open with provider support portal

Common timelines and processing expectations

Include clear timing for provisioning, termination, invoice disputes, and device delivery to avoid service gaps.

Onboarding window:

2–10 business days for account verification

Device delivery:

3–14 business days depending on stock

Chargeback response:

Typically 7–30 days to submit evidence

Settlement schedule:

Daily to weekly funding per agreement

Termination notice:

30–90 days depending on contract terms

Common mistakes to avoid

  • Using an unauthorized signer or failing to attach board or owner authorization can render acceptance unenforceable and delay account activation.
  • Providing incorrect bank routing or account numbers leads to failed settlements and extended reconciliation cycles between merchant and processor.
  • Failing to document PCI responsibilities may create audit gaps and increase breach liability if cardholder data is exposed.
  • Leaving pricing terms vague (for example, 'transaction fees as applicable') can cause disputes over interchange, markups, and fee passthrough accounting.

Consequences of errors or noncompliance

Chargeback Costs: Chargebacks plus administrative fees
Reserve Holds: Provider may hold settlements
PCI Fines: Fines from card brands or acquirers
Bank Account Freeze: Loss of payout access
Contract Liability: Indemnities for fraud or negligence
Tax Withholding: 24% backup withholding for incorrect TIN
