WHEREAS, Service Provider operates and supplies mobile voice, messaging, and data connectivity and related services (collectively, the Services); and

WHEREAS, Applicant desires to obtain such Services and agrees to the terms, conditions, and obligations set forth in this Application and Service Agreement (Agreement).

NOW, THEREFORE, in consideration of the mutual covenants herein, Applicant and Service Provider agree as follows:

Service Provider shall provide the Services described below to Applicant in accordance with the terms of this Agreement. Services may include provisioning of mobile voice, data, messaging, device management, and any ancillary support services expressly agreed in writing.

All amounts are payable in U.S. dollars. Applicant shall be responsible for taxes, duties, and any governmental fees associated with the Services unless otherwise agreed in writing. Service Provider may suspend Services for failure to pay in accordance with the schedule after any applicable cure period.

Term and Termination

This Agreement shall commence on the Start Date set forth below and shall continue for the Initial Term unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice. Termination shall be without prejudice to any remedies that accrued prior to termination.

Confidentiality

Each party agrees that information marked or reasonably understood to be confidential, including technical, commercial, pricing, and customer data (Confidential Information), shall be held in confidence and used only for performance under this Agreement. Confidential Information shall not be disclosed to third parties except to those employees, affiliates, or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential obligations do not apply to (a) information already lawfully in the receiving party's possession, (b) information publicly available through no fault of the receiving party, or (c) information required to be disclosed by law or order of a court or regulatory authority, provided the disclosing party is given prompt notice and an opportunity to seek protective relief.

Compliance and Representations

Applicant represents and warrants that Applicant has authority to enter into this Agreement, that all information supplied in this Application is true and correct, and that Applicant will comply with all laws and Service Provider policies governing use of the Services. Service Provider represents that it has the right to provide the Services and will perform them in a commercially reasonable manner.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflicts of law principles. All disputes arising out of or relating to this Agreement shall be resolved in competent state or federal courts located within that jurisdiction.

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. No amendment shall be binding unless in writing and signed by authorized representatives of both parties.

Consent & Authorization

Applicant hereby authorizes Service Provider to run credit checks or other background verification as reasonably necessary to evaluate Applicant's creditworthiness and eligibility for Services. Applicant authorizes recurring billing as set forth in the Payment Terms and agrees to provide accurate payment information.

Applicant certifies under penalty of perjury that the information provided in this Application is true, complete, and correct, and acknowledges that false statements may result in denial of Services or termination and recovery of damages.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses set forth in this Application, or to any updated address provided in writing by either party. Notice by email shall be effective upon transmission unless the sender receives a delivery failure notice.
