What a Model Home Sales Agreement Covers

A Model Home Sales Agreement is a binding contract used when a builder, developer, or seller transfers ownership of a show or model home to a purchaser. It documents the purchase price, allocation of included fixtures and staging items, financing or earnest money terms, closing and recording mechanics, title obligations, and any seller-provided warranties or repairs. The agreement also sets out contingencies (inspections, lender approval), remedies for default, and who pays closing or HOA fees. It is commonly tailored to address furnished inventory and staging removal or retention specifics.

Why a Clear Model Home Agreement Matters

A precise agreement prevents disputes over which items remain with the property, assigns responsibility for closing tasks and fees, and protects both buyer and seller through defined remedies, escrow instructions, and warranty terms. It reduces ambiguity at closing and helps title companies and lenders verify transfer requirements.

Why a Clear Model Home Agreement Matters

Who typically prepares and signs this agreement

Clear role assignment reduces last-minute delays and helps ensure all signatures, funds, and disclosures are in place for timely recording.

  • Builder or seller representatives who draft terms and disclose included fixtures and warranties.
  • Buyers and buyer agents who review contingencies, financing, and what items convey with the sale.
  • Title companies, escrow officers, and lenders who confirm recording requirements and closing funds.

Essential elements to include in the agreement

A professional Model Home Sales Agreement groups core terms so each party understands price, included items, closing mechanics, and post-sale responsibilities.

Purchase Terms

Defines total price, deposit/earnest money, any seller credits, financing contingencies, and payment schedule to avoid later disputes.

Inventory & Fixtures

Lists all furnishings, appliances, and staging items included or excluded, with serial numbers or photos when practical for clarity at transfer.

Closing & Escrow

Specifies escrow agent, timeline for closing, title insurance requirements, prorations, and who pays closing or recording fees.

Disclosures & Inspections

Requires seller disclosures, inspection rights, defect lists, and any repair allowances or holdbacks agreed pre-closing.

Warranties

Describes any builder warranties, duration, transferability, and procedures for claiming repairs post-closing.

Default Remedies

States cure periods, forfeiture or specific performance options, and how earnest money is handled in disputes.

Step-by-step: completing a Model Home Sales Agreement

Follow these steps to finalize the agreement efficiently and reduce risk of post-closing disputes.

  • 01
Prepare Agreement: Populate buyer/seller details, price, and inventory list.
  • 02
Review Disclosures: Provide required seller disclosures and inspection reports to buyer.
  • 03
Secure Earnest Money: Deposit funds to escrow per contract deadlines.
  • 04

How to configure an online signing workflow

Set up routing, authentication, and field behavior before sending to prevent signer confusion and rework.

Field Configuration
Authentication Method Email link with optional SMS code for stronger verification.
Attachment Requirements Require ID or clearance docs via mandatory attachment fields.
Conditional Fields Show staging removal dates only if seller marks items as removable.
Notification Routing Set escrow, title, and agent to receive copies automatically.

Typical document flow for e-signing and recording

A consistent flow reduces turnaround and ensures the signed agreement moves smoothly to escrow and recording.

  • Upload Document: Add the agreement PDF or DOCX to the signing platform.
  • Place Fields: Insert signature, date, and initial fields where required.
  • Send to Signer: Route to buyer, seller, and any third parties in order.
  • Complete & Archive: Collect audit trail, deliver copies, and export for recording.

Digital signing and platform considerations

Ensure the chosen workflow records intent, attribution, and retention so the electronic record is reproducible and legally defensible under U.S. law.

  • Integrations: Connect to title, CRM, or storage systems (Salesforce, NetSuite, Box) to route documents.
  • Document Formats: Accept PDF and Word (DOCX); export signed PDF/A for long-term archiving.
  • Authentication & Law: Use ESIGN (15 U.S.C. §7001) and UETA-compliant workflows; add stronger ID where required.

Common contract deadlines to track

Model home contracts contain time-sensitive dates; tracking them avoids defaults and funding delays.

Earnest Money Deadline:

Number of days to deposit funds into escrow as stated in contract.

Contingency Removal:

Buyer must remove inspection/financing contingencies by this date.

Closing Date:

Date when deed transfers and funds are disbursed.

Recording Deadline:

County recording should occur promptly after funding to protect title interests.

HOA Transfer Deadline:

Deadline for transferring HOA enrollment or payment responsibilities, if applicable.

Common mistakes when preparing this agreement

  • Failing to itemize staging and fixture items, causing post-closing disputes over ownership or removal costs.
  • Using inconsistent entity names for sellers or buyers, which delays title search and closing disbursements.
  • Omitting required state or local seller disclosures, exposing the seller to rescission or penalties.
  • Not specifying who pays recording, recording transfer taxes, or HOA fees, which leads to last-minute closing disputes.

Risks and potential consequences of errors

Title Defects: Clouded title risk
Escrow Disputes: Delayed distributions
Tax Reporting: Incorrect 1099 reporting
Contract Rescission: Buyer termination risk
Penalty Fees: Late recording fines
Warranty Claims: Unclear post-sale obligations
