RECITALS

WHEREAS, the Model is willing to be photographed, filmed and/or recorded and to grant rights in the Model's likeness and related materials to the Producer or Photographer identified below; and

WHEREAS, the Photographer/Producer desires to obtain such rights to use the Model's name, likeness, image, voice and performance (collectively, the Likeness) for the purposes set forth in this Agreement; and

WHEREAS, the parties desire to set forth their agreement regarding the scope of the engagement, compensation, rights granted, confidentiality, and related matters.

SCOPE OF WORK

GRANT OF RIGHTS

The Model hereby irrevocably grants to the Photographer/Producer, its licensees, successors and assigns, a perpetual, worldwide, royalty-free, transferable, sublicensable right and license to use, reproduce, publish, distribute, display, broadcast, adapt, modify and create derivative works from the Likeness in any and all media now known or hereafter devised for commercial, promotional, advertising, editorial, and any other lawful purpose. This grant includes the right to crop, retouch, combine with other images and text, and to use the Model's name, voice, performance and biographical material in connection with such uses.

The Model expressly waives any right to inspect or approve finished materials incorporating the Likeness and waives any claims for additional consideration beyond the compensation expressly set forth below. The Model further waives any moral rights or rights of attribution to the extent permitted by law.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period set forth above. Termination shall not revoke rights already granted and shall not relieve the Model of obligations that survive termination as set forth herein.

CONFIDENTIALITY

The parties agree that any non-public production materials, unreleased images, or proprietary project information disclosed in connection with this engagement shall be treated as confidential and shall not be disclosed to third parties without prior written consent, except as required by law. Notwithstanding the foregoing, the Photographer/Producer may use and publish the Likeness as permitted by this Agreement.

REPRESENTATIONS AND WARRANTIES

The Model represents and warrants that the Model is of full legal age and has the full right and authority to enter into this Agreement. If the Model is a minor, the undersigned parent or legal guardian represents and warrants that they have the authority to execute this Agreement on behalf of the minor.

INDEMNIFICATION

The Model agrees to indemnify, defend and hold harmless the Photographer/Producer and its agents, employees, licensees and assigns from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of any breach of the Model's representations or warranties, or any unauthorized use or misuse of the Likeness by the Model.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification must be in writing signed by both parties. If any provision is held invalid, the remainder shall continue in full force and effect.

ACKNOWLEDGMENT AND RELEASE

The Model hereby releases, discharges and agrees to hold harmless the Photographer/Producer from any claims arising out of the use of the Likeness as permitted under this Agreement, including claims for libel, invasion of privacy, or other causes of action arising from the authorized uses.
