MODELING SERVICE CONTRACT

This Modeling Service Contract (the Agreement) is entered into as of Effective Date: by and between Client Name: ("Client"), and Model Name: ("Model").

WHEREAS

WHEREAS, the Client requires professional modeling services for photographic, video, promotional and/or related uses as described herein; and

WHEREAS, the Model represents that Model possesses the skills, appearance, availability and legal authority to provide the modeling services requested and is willing to provide such services as an independent contractor under the terms of this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions governing the engagement, compensation, usage rights and confidentiality applicable to the services to be provided.

Late Fee: If payment is not received by the Balance Due Date, Client shall pay interest at the rate of % per month (or the maximum permitted by law) plus reasonable collection costs and attorneys' fees incurred to collect past due amounts.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Termination for material breach by either party shall be effective if the breaching party fails to cure the breach within 14 days after written notice of the breach.

CONFIDENTIALITY

For the term of this Agreement and for a period of years thereafter, each party shall hold in strict confidence and shall not disclose to third parties any Confidential Information of the other party. Confidential Information includes non-public business, financial, creative or technical information disclosed in connection with this Agreement, but does not include information that (i) is or becomes publicly known through no breach of this Agreement; (ii) was known by the receiving party prior to disclosure as documented by written records; or (iii) is lawfully obtained from a third party not bound by confidentiality obligations. Remedies for breach shall include injunctive relief and recovery of damages.

USAGE RIGHTS AND INTELLECTUAL PROPERTY

Model hereby grants Client a non-exclusive / exclusive (select one) license to use images, video, stills and likenesses created pursuant to this Agreement for the purposes and media specified below, subject to the terms herein. Ownership of the underlying raw materials and intellectual property remains with unless otherwise agreed in writing.

CANCELLATION & RESCHEDULING

Cancellation by Client within days of the shoot shall result in a cancellation fee equal to . Rescheduling requested by Client with at least days notice shall be accommodated subject to Model availability; otherwise standard cancellation fees apply.

INDEPENDENT CONTRACTOR; TAXES

Model shall perform services as an independent contractor and nothing in this Agreement shall be construed to create an employer-employee relationship, partnership or joint venture. Model is responsible for all federal, state and local taxes, insurance and other obligations arising from compensation received hereunder. Client shall not withhold taxes unless required by applicable law.

INSURANCE AND INDEMNIFICATION

Each party agrees to maintain appropriate insurance coverage and to indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement, negligence, willful misconduct or violation of law in connection with the performance of services under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any dispute arising out of this Agreement shall be in the state or federal courts located in that state unless the parties agree otherwise in writing.

ENTIRE AGREEMENT
