Mold Remediation Agreement

RECITALS

WHEREAS, Client Name: is the owner or authorized occupant of the real property located at Property Address: (the "Property");

WHEREAS, Contractor Name: is engaged in the business of mold assessment, remediation and associated services and represents that it has the skill, licenses, insurance and experience necessary to perform the work described herein; and

WHEREAS, mold or suspected mold contamination was discovered at the Property on Discovery Date: and Client desires to retain Contractor to perform remediation under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF WORK

Contractor shall perform all remediation, containment, HEPA filtration, demolition of affected materials (if required), removal and lawful disposal of contaminated materials, and clearance testing where required. All work shall be performed in accordance with industry standards and applicable local regulations. Any testing, monitoring, or clearance criteria shall be as set forth in the Scope of Work above and in applicable appendices to this Agreement.

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay undisputed invoices within thirty (30) days of invoice date. If Client disputes an invoice in good faith, Client must provide written notice of dispute within ten (10) days and the parties shall promptly attempt to resolve the dispute. Past due amounts shall incur the Late Payment Fee stated above and interest as permitted by law.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until completion of the Scope of Work or End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period set forth above after written notice. Contractor may suspend work if Client fails to timely pay undisputed amounts after written notice and ten (10) days to cure.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that is or becomes publicly available through no fault of the receiving party, was lawfully known to the receiving party before disclosure, or is required to be disclosed by law or court order; provided, the receiving party gives prompt written notice to the disclosing party and cooperates in any lawful effort to limit such disclosure.

INSURANCE, LICENSES AND SAFETY

Contractor represents and warrants that it holds all licenses required to perform the Work and shall maintain commercial general liability, professional liability (if applicable), workers' compensation and pollution/environmental liability insurance in amounts reasonable for this type of work. Contractor shall comply with all applicable safety and health requirements on the job site and shall take reasonable precautions to protect occupants, property, and workers from exposure during remediation.

HAZARDOUS MATERIALS AND DISPOSAL

If Contractor encounters suspected hazardous materials not described in the Scope of Work, Contractor will stop work and notify Client. Additional abatement, testing, or disposal required due to such materials shall be documented in a written change order and will be billed separately at rates agreed by the parties. Contractor is responsible for lawful transport and disposal of contaminated materials unless otherwise agreed.

CHANGE ORDERS

Any material change to the Scope of Work shall be made by a written change order signed by both parties specifying the change in scope, adjustments to price and schedule, and any other relevant terms.

WARRANTIES; LIMITATION OF LIABILITY

Contractor warrants that the remediation services will be performed in a professional manner consistent with industry standards for a period of Warranty Period (months): from the date of completion. This warranty does not cover recurring mold growth due to untreated underlying conditions such as ongoing water intrusion, humidity control failures, or structural defects.

Except for the express warranty above, Contractor disclaims all other warranties, express or implied. To the extent permitted by law, Contractor's total liability for all claims arising from or related to this Agreement shall not exceed the total amount actually paid by Client to Contractor under this Agreement.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, agents and employees from and against third party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence or willful misconduct in the performance of its obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Governing Law: , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, scopes, and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.
