Authorization and Scope of Authority

Client hereby authorizes Manager to act as agent with respect to Client financial affairs only to the extent indicated below. Manager's authority shall be exercised in good faith, in the Client's best interest, and in accordance with applicable law.

Confidentiality, Liability & Indemnification

Manager shall keep Client financial information confidential except to the extent necessary to perform assigned duties or as required by law. Manager is authorized to disclose information to agents or service providers retained to perform functions under this Agreement provided they are bound by confidentiality obligations.

Manager will exercise reasonable care and ordinary prudence in performing duties. Manager is not liable for losses resulting from Client's instructions, acts of third parties, errors beyond Manager's control, or transactions authorized under this Agreement, except for losses directly resulting from Manager's gross negligence, willful misconduct, or material breach of this Agreement.

Client agrees to indemnify and hold Manager harmless from claims, liabilities, costs and expenses (including reasonable attorneys' fees) arising from carrying out authorized actions unless arising from Manager's gross negligence or willful misconduct.

Term, Amendment & Termination

This Agreement shall commence on the Effective Date and remain in effect until terminated by either party upon thirty (30) days written notice to the other party, unless otherwise agreed in writing. Termination does not relieve either party of obligations outstanding at the date of termination.
