MONITORING BUSINESS LEASE CONTRACT

This Monitoring Business Lease Contract ("Agreement") is made and entered into as of Effective Date: by and between Lessor: , with address: , and Lessee: , with address: .

WHEREAS

WHEREAS, Lessor is the lawful owner or authorized agent of the premises located at: (the "Premises"); and

WHEREAS, Lessee operates a monitoring services business and desires to lease the Premises to operate monitoring activities, install equipment, and receive related services as described in this Agreement; and

WHEREAS, Lessor and Lessee desire to set forth the terms under which Lessee shall occupy the Premises and provide monitoring services, including obligations for equipment, payments, confidentiality, and termination.

SCOPE OF WORK

Lessee shall be permitted to use the Premises solely for monitoring business operations, including but not limited to equipment installation, alarm monitoring, data transmission, remote surveillance operations, and associated administrative activities. Lessor's consent is required in writing for any material change to the scope of operations, including subleasing or use by third-party contractors.

PAYMENT TERMS

Rent is payable in lawful money of the applicable jurisdiction to the payee designated by Lessor. A late fee as set forth above will be applied to any installment not received within five (5) calendar days of the due date, and interest shall accrue thereafter at the rate specified above or, if no percentage is specified, at 1.5% per month on the outstanding balance. Lessee shall also be responsible for reasonable costs of collection, including attorneys' fees, in the event of default.

Either party may terminate this Agreement without cause by providing the other party written notice not less than the notice period set forth above. Lessor may terminate immediately upon written notice if Lessee materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice. Upon termination, Lessee shall remove its trade fixtures and equipment and restore the Premises as required by Section 8 herein, subject to Lessor's right to require removal at Lessee's expense.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means non‑public information disclosed by one party to the other relating to business operations, monitoring data, client lists, technical specifications, security protocols, pricing, and other proprietary matters. The receiving party shall (i) maintain Confidential Information in strict confidence, (ii) not use Confidential Information except to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to its employees, agents, or contractors who have a need to know and are bound by confidentiality obligations at least as protective as those contained herein. Confidential Information shall not include information that is lawfully in the public domain, already known to the receiving party prior to disclosure as evidenced by written records, or independently developed without use of the disclosing party's Confidential Information. The obligations of confidentiality shall survive termination of this Agreement for a period of five (5) years, provided that trade secrets will remain protected for as long as such protection is permitted by law.

INSURANCE AND INDEMNIFICATION

Lessee shall maintain commercial general liability insurance, property insurance for Lessee's equipment, and such other coverages as reasonably required by Lessor. Lessee shall indemnify, defend and hold harmless Lessor from and against all claims, liabilities, losses, and expenses arising out of Lessee's use of the Premises, breach of this Agreement, or negligent acts of Lessee, its agents, employees, or contractors, except to the extent caused by Lessor's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by written notice. Notices shall be deemed given upon personal delivery, three (3) days after deposit in the U.S. mail, certified or registered, return receipt requested, or one (1) business day after delivery to a nationally recognized overnight courier.

ADDITIONAL PROVISIONS

Unless otherwise agreed in writing, Lessee shall be responsible for obtaining and maintaining all permits, licenses and approvals necessary for the lawful operation of the monitoring business. Title to Lessee's removable monitoring equipment shall remain with Lessee. Any permanent improvements to the Premises shall be subject to Lessor's prior written approval and unless otherwise agreed shall become part of the Premises at expiration or termination.
