Payment is due in accordance with the Payment Terms above. A late fee equal to 1.5% per month (18% APR) or the maximum lawful rate, whichever is lower, will be assessed on any unpaid balance beginning the day after the due date. Late fees are calculated monthly and compounded monthly.

Buyer is responsible for all applicable sales, use, value added and other taxes, however designated, arising from this invoice, except for taxes based on Seller's net income. If Seller is required to pay any such taxes, Buyer shall reimburse Seller upon demand.

Any claim or dispute arising from this invoice must be submitted in writing to the remitting party within 15 days of the invoice date. Absent timely written notice, the invoice shall be deemed accepted and payable in full. Seller may suspend services and/or pursue all remedies available at law or equity for nonpayment, including recovery of collection costs and reasonable attorney fees.

Acceptance of goods or services shall not be construed as a waiver of any rights to recover for nonconformance or breach. These terms constitute the entire agreement between the parties with respect to this invoice and supersede any prior understandings or agreements, whether written or oral, except as expressly agreed in writing by the parties.
