All non-public information disclosed by a party in connection with this report shall be treated as Confidential Information. Recipient shall not disclose, copy, or use Confidential Information except as necessary to perform obligations under the Agreement. This obligation survives termination for a period of three (3) years or as otherwise specified in the Agreement.

GOVERNING LAW

This Monthly Performance Report and any dispute arising out of or related to it shall be governed by the substantive laws of the governing jurisdiction specified in the Agreement, without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Report, together with the Agreement and any incorporated attachments, constitutes the entire understanding between the parties with respect to the matters contained herein. To the extent of any inconsistency, the Agreement governs.
