WHEREAS, the parties require monthly reports describing performance, metrics, deliverables and any material incidents, and wish to set forth the reporting format and related contractual terms in this Monthly Reporting Form and Services Agreement; and

WHEREAS, the parties agree that monthly reporting is a material obligation and that this document will govern reporting requirements and related administrative terms.

Payment Terms

Compensation for services described in the Scope of Work shall be as follows. All amounts are denominated in U.S. dollars unless otherwise indicated.

Late Payment: Invoices not paid within the agreed payment schedule shall accrue a late fee of the lesser of the amount set forth below or the maximum allowed by applicable law. Service Provider may suspend services following written notice of nonpayment for a period of not less than five (5) business days.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed in connection with this agreement that is designated confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, was already known by the receiving party without restriction, or is independently developed without access to the disclosing party's confidential information.

The obligations in this clause survive termination for a period of following termination of this agreement, except as otherwise required by law or court order.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising under this agreement.

Entire Agreement

This Monthly Reporting Form, together with any referenced statement of work or purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.
