MONTHLY SERVICE AGREEMENT

This Monthly Service Agreement (the "Agreement") is made and entered into as of by and between:

WHEREAS, Service Provider is duly qualified and capable of providing the services described herein and represents that it possesses the personnel, skill and resources necessary to provide such services in a professional manner; and

WHEREAS, Client desires to engage Service Provider to provide monthly services under the terms and conditions set forth in this Agreement, and Service Provider is willing to provide such services on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Scope of Work

Service Provider shall perform the services described below (the "Services"). Service Provider will use commercially reasonable efforts to perform the Services in a timely and professional manner consistent with industry standards.

2. Payment Terms

Client shall pay Service Provider a monthly fee for the Services as set forth below. All amounts are payable in United States dollars and are exclusive of taxes unless otherwise stated.

Invoices shall be issued monthly in arrears and are due and payable by Client within days of invoice receipt. Payment shall be made via the payment method agreed by the parties.

Any amount not paid when due shall accrue interest at the lesser of (a) percent per month, or (b) the maximum rate permitted by law. In addition, Client shall be responsible for reasonable collection costs and attorneys' fees incurred by Service Provider in collecting overdue amounts.

3. Term and Termination

The term of this Agreement shall commence on the Start Date and shall continue on a month-to-month basis until terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon providing the other party with at least days' prior written notice. Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

4. Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes generally available to the public other than as a result of a disclosure by the Receiving Party in violation of this Agreement; (b) was known to the Receiving Party without restriction prior to disclosure by the Disclosing Party; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to the extent required by law or by order of a court of competent jurisdiction, provided that the Receiving Party gives the Disclosing Party prompt written notice and cooperates with reasonable efforts to obtain confidential treatment or a protective order.

Upon termination or expiration of this Agreement, the Receiving Party shall promptly return or destroy, at the Disclosing Party's option, all tangible materials embodying Confidential Information and shall certify in writing the return or destruction of such materials. The confidentiality obligations in this Section shall survive termination for a period of three (3) years.

5. Independent Contractor; Insurance

Service Provider is an independent contractor and not an employee, agent or partner of Client. Service Provider shall determine the method, details and means of performing the Services and is responsible for payment of all taxes and worker benefits arising from payments made under this Agreement. Service Provider shall maintain insurance coverage customary for the Services provided and shall provide proof of such insurance upon Client's reasonable request.

6. Limitation of Liability; Indemnification

Except for willful misconduct or gross negligence, neither party shall be liable to the other for any consequential, special, indirect or punitive damages. Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's negligence, willful misconduct or breach of this Agreement, subject to the indemnified party providing prompt written notice of any claim and reasonable cooperation in the defense thereof.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

8. Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

9. Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in its entirety to a successor in interest in connection with a merger, acquisition or sale of substantially all its assets.

Notices under this Agreement shall be in writing and shall be delivered to the addresses set forth above or to such other address as either party may designate by notice to the other. Notices shall be deemed given when delivered personally, or three (3) business days after deposit with a nationally recognized overnight courier.
