MONTHLY SUBSCRIPTION AGREEMENT

This Monthly Subscription Agreement (the Agreement) is entered into between:

Recitals

Provider offers the subscription services described below and Subscriber desires to obtain such services under the terms and conditions set forth in this Agreement. The parties agree as follows.

Term and Renewal

Effective Date: . The initial term of this Agreement shall commence on the Effective Date and continue on a monthly basis until terminated as provided herein. This Agreement shall automatically renew for successive monthly periods unless either party provides written notice of non-renewal at least days prior to the then-current billing cycle.

Subscription Services and Fees

Provider will deliver the subscription services and deliverables described below in accordance with the service specifications and service levels set forth in this Agreement.

Billing, Payment and Taxes

Subscriber shall pay the Total Monthly Charge in advance on a monthly basis. Billing will occur on day of each month. Provider is authorized to charge Subscriber's designated payment method on or after the billing date. If payment is not received when due, Provider may suspend services in accordance with Section titled Default and Suspension.

Credit Card ACH / Bank Transfer Invoice (preapproved)

Late payments shall incur a late fee of per month on any unpaid balance after a grace period of days. Subscriber is responsible for all federal, state, and local taxes (other than taxes based on Provider's net income).

Cancellations and Refunds

Subscriber may cancel the subscription by providing written notice to Provider at least days prior to the next billing cycle. Except as expressly provided in this Agreement, fees are non-refundable. If Provider terminates for cause, Provider will provide a pro rata refund for unused days of the billing period following termination.

Default and Suspension

If Subscriber fails to pay any amount when due and such failure continues for more than days after Provider's written notice, Provider may suspend services and/or terminate this Agreement. Provider will provide notice of suspension and allow the cure period prior to termination unless immediate suspension is reasonably necessary to protect Provider or other customers.

Confidentiality and Data

Each party shall maintain the confidentiality of the other's Confidential Information and shall not disclose such information except as required by law or with prior written consent. Provider will maintain appropriate administrative, physical, and technical safeguards for Subscriber data. Provider's access to Subscriber data shall be limited to the purposes of performing the services.

Warranties, Limitations of Liability and Indemnification

Provider warrants that it will perform services in a professional manner consistent with industry standards. EXCEPT FOR THE LIMITED WARRANTY SET FORTH ABOVE, SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT WILL PROVIDER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE AMOUNTS PAID BY SUBSCRIBER TO PROVIDER IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. Subscriber agrees to indemnify and hold Provider harmless from third-party claims arising from Subscriber's use of the services in violation of this Agreement.

Notices; Governing Law

All notices required under this Agreement shall be in writing and delivered to the contact addresses listed above. This Agreement shall be governed by the laws of the State of without regard to conflict of law principles.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Any amendment must be in writing signed by authorized representatives of both parties. Neither party may assign this Agreement without the other party's prior written consent, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets.
