MOORAGE LEASE AGREEMENT

Lessor leases to Lessee and Lessee hires from Lessor the moorage space identified above for the term commencing on and ending on (the "Term"). Possession and access commence upon Lessee's compliance with the requirements of this Agreement and payment of all sums due.

Rent, Fees & Security

Rent: Lessee shall pay moorage at the rate of $ per month, payable in advance on or before the day of each month. Payments shall be made to Lessor at the address above or to such other place as Lessor designates.

Security Deposit: Lessee shall deposit $ as security for performance. Deposit is refundable subject to deductions for unpaid charges, repairs, cleaning, and other lawful charges within thirty (30) days after termination and surrender of the moorage.

Late Charge: Rent unpaid after the due date shall bear a late fee of $ and interest thereafter at the lesser of 1.5% per month or the maximum rate permitted by law.

Use, Restrictions & Liveaboard

Permitted Use: The moorage space shall be used solely for mooring and related vessel uses. Lessee shall not use the space for commercial passenger operations, permanent habitation (unless liveaboard is expressly permitted below), or any unlawful purpose.

Liveaboard Permitted: Yes No   If liveaboard is permitted, additional monthly liveaboard fee of $ applies and Lessee must comply with Lessor's liveaboard rules.

Lessee shall not store, discharge, or otherwise permit any hazardous substances, petroleum products, or fuel on docks, floats, or facility grounds except during transient fueling in areas expressly designated for fueling. Lessee acknowledges strict liability for clean-up costs and environmental fines resulting from Lessee's vessel or activities.

Insurance & Indemnity

Insurance: Lessee shall maintain, at Lessee's expense, hull insurance and commercial general liability insurance covering the vessel and Lessee's use of the moorage with limits not less than $ per occurrence and shall name Lessor as an additional insured where requested. Lessee shall provide proof of insurance to Lessor prior to occupancy and upon each renewal.

Indemnity: Lessee shall indemnify, defend and hold harmless Lessor, its agents and employees from and against all claims, liabilities, losses, costs and expenses (including attorneys' fees) arising from Lessee's use of the moorage, vessel operations, or breach of this Agreement, except to the extent caused by Lessor's gross negligence or willful misconduct.

Maintenance, Repairs & Alterations

Lessee shall keep the vessel and assigned moorage area in good order, free of debris, and shall not make structural alterations to docks or utilities without Lessor's prior written consent. Lessee shall be responsible for all repairs to the vessel and for any damage to Lessor's property caused by Lessee, Lessee's guests, or the vessel.

Default, Lien & Remedies

Default: Failure to pay rent or other charges, abandonment of the vessel, or material breach of this Agreement shall constitute a default. Upon default, Lessor may exercise any remedy available at law or equity, including termination of this Agreement, removal of the vessel after notice, and sale of the vessel to satisfy amounts due.

Lien: Lessee acknowledges that unpaid fees, charges, and costs may give rise to a maritime lien and/or a possessory lien against the vessel. Lessor may impound, retain, and sell the vessel in accordance with applicable law after providing the required notice and opportunity to cure. Lessee is liable for all costs of enforcement, including towing, storage, sale expenses, and attorneys' fees.

Lessee represents that the vessel does not have existing structural or environmental defects not disclosed to Lessor, except as noted in the Move-in Condition Report above.

Assignment, Subletting & Transfer

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles.

Entire Agreement: This Agreement, together with any written rules, policies, or addenda executed by the parties, contains the entire agreement between Lessor and Lessee concerning the moorage and supersedes all prior negotiations and representations. No amendment shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by personal delivery, certified mail, or other means providing a record of delivery. Notice is effective upon receipt.

Miscellaneous

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute waiver of subsequent breaches.
