Assignor represents and warrants that as of the Effective Date: (a) Assignor is the lawful owner and holder of the Note and Mortgage and has full power and authority to assign the same; (b) to Assignor's knowledge there are no prior assignments of the Mortgage other than those disclosed in writing to Assignee; (c) the Note has not been cancelled; (d) Assignor is not aware of any defaults by Mortgagor that have not been cured, except as specifically disclosed to Assignee in writing; and (e) all sums paid to Assignor with respect to the Loan have been accounted for in accordance with applicable law.

Assignee Acceptance and Covenants

Assignee accepts the foregoing assignment and agrees to be bound by all rights and obligations arising from the Note and Mortgage to the extent such rights and obligations are assignable. Assignee covenants to give notice of assignment to Mortgagor and to comply with applicable law in the exercise of any remedies.

Indemnity

Assignor shall indemnify and hold harmless Assignee from and against all losses, liabilities, claims and expenses (including reasonable attorneys' fees) arising from any breach of the representations and warranties contained herein. Assignee shall indemnify Assignor from and against liabilities arising from Assignee's acts or omissions occurring after the Effective Date.

Recording; Further Assurances

Assignor and Assignee agree to cooperate and execute and deliver such further documents and take such further actions as may be reasonably necessary to effect, record and enforce this Assignment. Recording of this Assignment in the appropriate public records is requested by:
