MORTGAGE DEED

THIS MORTGAGE DEED (this "Deed") is made as of by and between Mortgagor: whose address is , and Mortgagee: whose address is .

RECITALS

WHEREAS, Mortgagor is the owner of the real property and improvements described below and intends to grant a security interest in such property to secure payment of a certain promissory note described herein; and

WHEREAS, Mortgagee has agreed to make or has made a loan to Mortgagor evidenced by a certain Promissory Note in the original principal amount of (the "Note"), dated , which Note requires repayment in accordance with its terms; and

WHEREAS, to secure the payment and performance of the Note and all other Obligations (as defined below), Mortgagor desires to execute and deliver this Deed of Mortgage to Mortgagee.

NOW, THEREFORE

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Mortgagor hereby grants, bargains, sells, conveys, mortgages and pledges to Mortgagee, its successors and assigns, the real property more particularly described below, together with all improvements, hereditaments and appurtenances thereto (the "Property"), to secure payment and performance of the obligations described in Section 2 (collectively, the "Obligations").

This Deed secures (a) the payment of the indebtedness evidenced by the Note in the principal amount of together with interest thereon, (b) all renewals, extensions and modifications thereof, and (c) all other sums, liabilities and obligations of Mortgagor to Mortgagee arising under or in connection with the Note, this Deed or any related agreement (collectively, the "Obligations").

3. COVENANTS OF MORTGAGOR

Mortgagor covenants and agrees with Mortgagee that Mortgagor will: (a) promptly pay when due all sums required by the Note; (b) keep the Property in good repair and not commit or permit waste; (c) maintain insurance on the Property against loss or damage by fire and other hazards included within the term "extended coverage" in amounts and with insurers reasonably satisfactory to Mortgagee; and (d) pay when due all taxes, assessments and governmental charges affecting the Property.

4. DEFAULT; REMEDIES

Upon the occurrence of any Event of Default (including but not limited to failure to pay any sum due under the Note or breach of any covenant in this Deed), Mortgagee shall have all rights and remedies provided by law or equity, including acceleration of the indebtedness and foreclosure of this Deed by judicial proceeding or by power of sale where permitted. Mortgagee's election to proceed by any remedy shall not preclude pursuit of any other remedy.

5. POWER OF SALE

To the extent permitted by applicable law, Mortgagor grants to Mortgagee the power to sell the Property without judicial action upon an Event of Default pursuant to the procedures required by law. Mortgagee may sell the Property at public auction or by private sale and apply the proceeds to the Obligations, with Mortgagor remaining liable for any deficiency.

6. TAXES, INSURANCE AND PROTECTION OF SECURITY

If Mortgagor fails to pay taxes, assessments, or to provide insurance as required, Mortgagee may, after notice where notice is required by law, pay or procure insurance and add the amounts so paid to the Obligations and may protect and preserve the security by entering upon the Property for such purposes. All sums advanced by Mortgagee under this section shall be secured by this Deed and shall bear interest at the highest rate permitted by law.

7. ASSIGNMENT OF RENTS

To secure the payment of the Obligations, Mortgagor assigns to Mortgagee all rents, issues and profits of the Property. In the event of default, Mortgagee may collect such rents and apply them to the Obligations after deducting reasonable costs of collection.

8. RECONVEYANCE UPON PAYMENT

When all Obligations secured by this Deed have been paid in full and Mortgagee has received written demand and the information reasonably required to effect reconveyance, Mortgagee shall reconvey, release and discharge this Deed without charge, except for reasonable costs of reconveyance.

9. SUBROGATION; RELEASE

Mortgagee shall be subrogated to any lien or security interest held by Mortgagor in the Property to the extent of any payments made by Mortgagee in the protection of its security. Upon reconveyance, Mortgagee and Mortgagor shall execute such instruments as are reasonably necessary to effect release of this Deed.

10. NOTICES

All notices, demands, requests and other communications required or permitted hereunder shall be in writing and shall be delivered personally or sent by certified mail, return receipt requested, to the addresses set forth below or to such other address as either party designates by written notice to the other.

11. GOVERNING LAW

This Deed shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to its conflict of laws principles.

12. ENTIRE AGREEMENT

This Deed, together with the Note and any security instruments or agreements expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral.

13. SEVERABILITY

If any provision of this Deed is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

14. AMENDMENT; WAIVER; COUNTERPARTS

No amendment, modification or waiver of any provision of this Deed shall be effective unless in writing and signed by the party against whom enforcement is sought. No failure or delay by Mortgagee in exercising any right shall operate as a waiver. This Deed may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

MISCELLANEOUS PROVISIONS

Mortgagor grants to Mortgagee the right to do and perform any act and sign any instrument which Mortgagee deems necessary to protect its security under this Deed, and any amounts expended by Mortgagee in exercise of such rights shall be added to the Obligations. Mortgagee may assign this Deed and the Note; upon such assignment the assignee shall have all rights of Mortgagee hereunder.
