MORTGAGE RENEWAL AGREEMENT

This Mortgage Renewal Agreement (the Agreement) is made as of between the parties identified below. This Agreement renews and amends the original mortgage identified herein pursuant to the terms set forth below.

WHEREAS the parties desire to renew the Original Mortgage on the terms set forth in this Agreement and to evidence such renewal as an amendment and continuation of the Original Mortgage.

3. Prepayment: Borrower may prepay principal in whole or in part at any time without penalty unless otherwise specified below. If any prepayment penalty applies, specify amount or formula in Special Provisions.

4. Default and Acceleration: Except as modified herein, the Original Mortgage's default provisions remain in full force. Upon Borrower default under the Note or Mortgage, Lender may declare the indebtedness immediately due and payable and exercise all remedies available under the Original Mortgage, this Agreement, and applicable law, including recovery of costs and attorneys' fees.

CONTINUING SECURITY AND INCORPORATION

5. Security: The parties agree that the Original Mortgage and all security instruments continue in full force and effect except as expressly modified by this Agreement. This Agreement shall be deemed an amendment and continuation of the Original Mortgage and all covenants, liens and remedies shall remain enforceable.

REPRESENTATIONS AND WARRANTIES

6. Each party represents and warrants that it has full power and authority to enter into this Agreement, that no other consents are required except as disclosed in writing, and that execution and performance of this Agreement will not violate any law or agreement binding upon such party.

ASSIGNMENT; AMENDMENT; GOVERNING LAW

7. Assignment: Lender may assign its rights under this Agreement. Borrower may not assign obligations under the Note without Lender's prior written consent.

8. Amendment: This Agreement may be amended only by a written instrument executed by both parties.
