MOTEL LEASE AGREEMENT

This Motel Lease Agreement ("Lease") is made and entered into on by and between Landlord Name: and Tenant/Operator Name: .

1. PREMISES AND PROPERTY IDENTIFICATION

Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, the motel premises located at:

The term of this Lease shall commence on and shall expire on (the "Term"), unless earlier terminated in accordance with this Lease. Tenant shall have the option to renew as set forth in Section 24 if exercised in writing in accordance with the notice requirements herein.

3. RENT & PAYMENT

Late fee for unpaid rent shall be plus interest at on overdue sums from the date due until paid.

4. USE, OPERATION AND OCCUPANCY

Tenant shall operate the Premises as a motel/hotel and shall comply with all applicable laws, ordinances, regulations and licensing requirements. Tenant shall maintain hours of operation, staffing, guest services, housekeeping, and sanitation consistent with industry standards for the class and location of the motel.

5. UTILITIES, SERVICES, AND STAFF

Tenant is responsible for payment of all utilities serving the Premises, including but not limited to water, sewer, gas, electric, telephone and internet, unless otherwise agreed in writing. Tenant shall provide and pay for housekeeping, laundry and maintenance staff as required to operate the motel.

6. MAINTENANCE, REPAIRS AND ALTERATIONS

Tenant shall, at Tenant's expense, keep the Premises in good order, condition and repair, reasonable wear and tear excepted. Tenant shall not make structural alterations without Landlord's prior written consent. Tenant shall promptly notify Landlord of any material damage to the Premises. Landlord shall be responsible for structural repairs and repairs to the roof and foundation except where damage is caused by Tenant's negligence.

7. INSURANCE AND INDEMNITY

Tenant shall procure and maintain commercial general liability insurance with limits not less than per occurrence and property insurance covering Tenant's personal property and leasehold improvements. Tenant shall name Landlord as additional insured on liability policies where required. Tenant shall indemnify and hold Landlord harmless from and against all claims arising from Tenant's use of the Premises except to the extent caused by Landlord's gross negligence or willful misconduct.

8. TAXES AND ASSESSMENTS

Tenant shall be responsible for payment of any sales, occupancy, transient occupancy or similar taxes attributable to Tenant's operation of the motel. Real property taxes and assessments shall be paid by Landlord except as otherwise agreed in writing.

9. ENVIRONMENTAL AND HAZARDOUS MATERIALS

Tenant shall not cause or permit any hazardous substances to be brought onto the Premises except for customary, limited cleaning supplies stored and used in accordance with law. Tenant shall promptly notify Landlord if Tenant becomes aware of any release or discovery of hazardous substances. Tenant shall be responsible for remediation of any contamination caused by Tenant or its agents, contractors or employees.

10. DAMAGE, DESTRUCTION, CONDEMNATION

If the Premises are damaged or destroyed, Landlord shall give written notice within a reasonable time whether Landlord elects to restore. If Landlord elects to restore, rent shall be abated proportionally during restoration. If Landlord elects not to restore, either party may terminate the Lease and the parties shall account for prepaid rent and security deposit in accordance with the extent of damage.

11. ASSIGNMENT AND SUBLETTING

Tenant shall not assign this Lease or sublet the Premises, in whole or in part, without Landlord's prior written consent, which shall not be unreasonably withheld. Any permitted assignment or subletting shall remain subject to the Tenant's obligations under this Lease.

12. DEFAULT AND REMEDIES

If Tenant fails to pay rent or otherwise defaults, Landlord shall provide written notice specifying the default and a period to cure of not less than ten (10) days for monetary defaults and thirty (30) days for non-monetary defaults, except where cure cannot reasonably be completed within such period, in which case Tenant shall commence cure within such period and diligently pursue completion. Landlord shall have all remedies available at law or in equity, including termination of the Lease, possession, and recovery of damages.

13. DISPUTE RESOLUTION

Any dispute arising under this Lease shall be resolved by binding arbitration if the parties so agree in writing; otherwise, disputes shall be resolved in the courts of the state governing this Lease. The prevailing party in any action to enforce this Lease shall be entitled to recover reasonable attorneys' fees and costs.

15. DEFAULT INSURANCE AND PROOF

16. SURRENDER; HOLDING OVER

Upon expiration or termination, Tenant shall surrender the Premises in good condition, ordinary wear and tear excepted. If Tenant holds over without Landlord's consent, Tenant shall be liable for holdover damages equal to 150% of the then-current monthly rent unless otherwise agreed in writing.

17. NOTICES

All notices under this Lease must be in writing and delivered to the addresses below by personal delivery, certified mail, or other method agreed by the parties.

18. GOVERNING LAW; ENTIRE AGREEMENT

This Lease shall be governed by and construed in accordance with the laws of the state in which the Premises are located. This Lease, including all attachments and written addenda signed by the parties, constitutes the entire agreement between Landlord and Tenant and supersedes all prior agreements and understandings with respect to the Premises.
