Recitals

WHEREAS, Service Provider is engaged in the business of providing automotive maintenance, repair and related services for passenger motor vehicles; and

WHEREAS, Client is the registered owner or authorized agent of the motor vehicle described below and desires to engage Service Provider to perform the services set forth in this Agreement under the terms and conditions herein; and

WHEREAS, the parties intend that this Agreement set forth their full understanding with respect to the services to be provided and the compensation to be paid.

Invoicing: Service Provider shall submit invoices in accordance with the Payment Schedule above. Payments are due within days of invoice receipt.

Late Fee: Any payment not received when due shall accrue interest at the lesser of (a) per month, compounded monthly; or (b) the maximum rate permitted by applicable law.

Parts and Materials: Parts and materials are included in the total amount.    Client is responsible for parts and materials at cost.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Service Provider may suspend performance immediately if Client fails to pay amounts when due.

Termination for Cause: Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice of breach.

Confidentiality

Each party shall keep confidential all non-public information received from the other party that by its nature is confidential ("Confidential Information"). Confidential Information does not include information that (i) is or becomes generally available to the public other than by breach of this Agreement, (ii) is already lawfully in the receiving party's possession prior to disclosure, or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose such information to third parties except to its employees, contractors and professional advisors who have a need to know and are bound to confidentiality obligations no less protective than those herein.

Insurance; Indemnification; Limitation of Liability

Service Provider shall maintain at its expense commercial general liability and automotive liability insurance in amounts customary for the industry. Upon request, Service Provider will provide certificates of insurance.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in performance of this Agreement, subject to the indemnified party's compliance with reasonable notice and cooperation requirements.

Limitation of Liability: EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

Entire Agreement; Amendments
