WHEREAS

Payment Terms

Owner shall pay Registrar the fees for services and any governmental or third-party fees required to effect registration. Fees paid to Registrar are non-refundable once filed with a governmental authority except as required by law.

Term and Termination

This agreement commences on the Start Date and continues until the registration is issued and all obligations are fulfilled or until earlier termination pursuant to this section.

Either party may terminate this agreement for material breach by the other party if the breaching party fails to cure within the specified notice period. Termination does not relieve Owner of payment obligations for services performed or fees incurred prior to termination.

Confidentiality

Registrar shall maintain the confidentiality of Owner's personal and vehicle information and shall not disclose such information except (a) as necessary to perform registration services, (b) as required by law or court order, or (c) with Owner's prior written consent. Registrar will implement commercially reasonable administrative and technical safeguards to protect confidential information.

Governing Law

This document shall be governed by and construed in accordance with the laws of the State of without regard to that State's choice of law principles. Venue for any dispute arising out of this agreement shall lie exclusively in the appropriate state or federal court located in that State.

This document, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between Owner and Registrar with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any modification must be in writing and signed by both parties.
