MOTORSPORTS EVENT AGREEMENT

RECITALS

WHEREAS, Organizer desires to retain Contractor to provide services and/or equipment necessary for the safe and professional conduct of the motorsports event, and Contractor represents that it has the experience, personnel, and insurance necessary to perform such services.

SCOPE OF WORK

Contractor shall perform the Services in accordance with the schedule and specification set forth above and shall provide qualified personnel, tools and equipment necessary to meet industry standards for motorsports events. PAYMENT TERMS

All fees are due as set forth above. Unless otherwise stated, invoices unpaid within 10 days of their due date shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Contractor is responsible for all payroll and employment taxes for its personnel; Organizer is not responsible for Contractor's payroll obligations.

TERM AND TERMINATION

This Agreement commences on and continues through , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within 14 days after written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services performed and costs incurred.

INSURANCE AND INDEMNIFICATION

Contractor shall maintain, at its expense, commercial general liability insurance, automobile liability insurance and workers' compensation as required by law. Minimum single-occurrence coverage shall be . Organizer may require Contractor to provide certificates of insurance prior to event access.

Contractor agrees to indemnify, defend and hold harmless Organizer, its officers, agents and employees from and against all claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of Contractor's negligent acts or omissions or willful misconduct in connection with the Services, except to the extent caused by Organizer's gross negligence or willful misconduct.

SAFETY, COMPLIANCE AND PERMITS

Contractor shall comply with all applicable laws, motorsports federation rules, track rules, and Organizer policies relating to safety and operations. Contractor is responsible for obtaining any permits, licenses or inspections required for the Services. Organizer shall have the authority to require removal of any Contractor personnel or equipment that, in Organizer's reasonable judgment, poses a safety risk or fails to comply with event rules.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other relating to event plans, competitor lists, financial terms, technical data, and other proprietary material. The receiving party shall not disclose such information to any third party and shall use it only to perform its obligations under this Agreement. This obligation shall continue for years following termination, except for information that is or becomes public through no fault of the receiving party or is required to be disclosed by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any written attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any modification or waiver must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Organizer may assign to an affiliate or successor in connection with a sale of substantially all of its assets.
