WHEREAS

WHEREAS, Client Name: is the owner or authorized representative of the premises identified above; and

WHEREAS, Contractor Name: is engaged in the business of mounting and installing electrical equipment and has the skill, personnel and ability to perform the mounting of the Surge Protective Device mounting hardware (SPD Mount) described herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will mount the SPD Mount at the Site and provide related services and materials.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within days after receipt of notice. Termination shall not relieve Client of obligations to pay for work performed and materials properly ordered prior to termination.

Confidentiality

Each party shall keep confidential all non-public business and technical information of the other party disclosed in connection with this Agreement. Confidential information shall not include information which is or becomes publicly available through no breach of this Agreement, or which is rightfully received from a third party without restriction. The receiving party shall use confidential information only for the purposes of performing obligations under this Agreement and shall take reasonable measures to protect such information.

Warranties; Indemnity; Liability

Contractor warrants that mounting work will be performed in a good and workmanlike manner for a period of months from the date of completion. This warranty does not cover damage due to misuse, alteration, or unauthorized repairs.

Each party agrees to indemnify, defend and hold harmless the other from and against claims, liabilities and losses arising from the indemnifying party's negligence or willful misconduct in connection with performance under this Agreement. Except for willful misconduct or liability for bodily injury, neither party's aggregate liability shall exceed the contract amount paid by Client.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including any attachments, exhibits and accepted change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral.
