Either party may terminate this request for convenience upon days' prior written notice. Termination for material breach is effective immediately upon written notice if the breaching party fails to cure within days.

CONFIDENTIALITY

Each party acknowledges that in connection with the performance of this movement it may receive Confidential Information of the other party. "Confidential Information" means information designated as confidential or reasonably understood to be confidential under the circumstances. Each party shall (a) use Confidential Information only to perform obligations under this request; (b) restrict disclosure to employees, contractors or agents with a need to know; and (c) take commercially reasonable measures to protect such information. Confidentiality obligations do not apply to information that is or becomes public through no fault of the receiving party, is already known by the receiving party without restriction, or is rightfully received from a third party without obligation of confidentiality.

LIABILITY & INSURANCE

The Service Provider shall maintain and provide upon request evidence of insurance covering liability for loss, damage or injury arising from performance of the movement. Except for willful misconduct or gross negligence, each party's liability to the other under this request shall be limited to direct damages up to the total fees charged for the specific movement. Neither party shall be liable for consequential, incidental or punitive damages.

GOVERNING LAW

This Movement Request and any dispute arising out of it shall be governed by and construed in accordance with the laws of the state of without regard to its conflict-of-law rules.

ENTIRE AGREEMENT

This form, together with any attachments, schedules and confirmed quotes, constitutes the entire agreement between the parties with respect to the requested movement and supersedes all prior proposals, negotiations and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
