WHEREAS

WHEREAS, Client desires to engage Mover to perform relocation services described herein and Mover represents that it is duly qualified and able to perform such services in accordance with the terms of this Agreement; and

WHEREAS, the parties intend that this Agreement will set forth the entire understanding between them with respect to the move and will govern the rights, duties, liabilities and remedies of the parties with respect to the services provided by Mover.

Estimates and Additional Charges: The parties acknowledge that the Total Agreed Amount is an estimate except where expressly stated as a fixed price. Client shall be responsible for reasonable additional charges incurred due to unforeseen circumstances, access issues, changes in scope, or requested services beyond the Scope of Work. Additional charges will be communicated before incurring when practicable.

Either party may terminate this Agreement for material breach by the other party upon days' prior written notice if the breach is not cured within that period. Client's cancellation within days of the scheduled move may result in forfeiture of the deposit and/or additional cancellation fees as set forth in the Payment Schedule.

CONFIDENTIALITY

Each party shall hold in strict confidence all non-public, proprietary, or commercially sensitive information disclosed by the other party in connection with this Agreement, including but not limited to personal contact information, inventory lists, pricing, and special instructions. Confidential information shall not be disclosed to third parties except (i) to employees, contractors, or agents who require access to perform obligations under this Agreement and are bound to confidentiality obligations, (ii) as required by law, or (iii) with the prior written consent of the disclosing party. This obligation shall survive termination or expiration of this Agreement for a period of two years.

LIABILITY, INSURANCE, AND VALUATION

Mover shall maintain liability and cargo insurance consistent with industry standards. Mover's liability for loss or damage to goods is limited to the valuation selected by Client. Client elects the following valuation coverage (choose one):

If Client declines additional valuation coverage, Mover's maximum liability shall be limited to replacement cost not exceeding $0.60 per pound per article unless otherwise agreed in writing. All claims for loss or damage must be submitted in writing within days of delivery and must describe the alleged loss or damage and the alleged value.

FORCE MAJEURE

Neither party shall be liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, government action, strikes, or severe weather. The affected party shall notify the other party of any anticipated delay and shall use commercially reasonable efforts to resume performance.

NOTICES

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state where the pickup location is situated without regard to its conflict of laws principles. The parties agree that jurisdiction and venue for any dispute shall lie exclusively with the state and federal courts located in that state.

This Agreement, together with any attachments and any written acknowledgments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification of this Agreement shall be binding unless in writing and signed by both parties.

MISCELLANEOUS

Severability: If any provision of this Agreement is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. Waiver: Failure to enforce any provision shall not be deemed a waiver of future enforcement.
