WHEREAS, Client desires to engage Mover to provide professional moving services for the relocation of Client's personal property from the premises identified in this Agreement to the destination specified below; and

WHEREAS, Mover represents that it is duly licensed, equipped and insured to perform moving services and agrees to perform such services in accordance with the terms, conditions, and limitations set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Client will ensure access to premises, elevator reservations, parking permits and any necessary permits or authorizations required for Mover to perform services. Client acknowledges that delays caused by lack of access or permits may result in additional charges.

Insurance, Valuation and Liability

Mover carries standard cargo and liability insurance. Client acknowledges that unless additional declared value coverage is purchased, Mover's liability for loss or damage to goods shall be limited to the lesser of actual replacement cost or the valuation level selected by the parties. Client shall disclose any high-value items and provide written inventory. Mover is not responsible for hidden defects, pre-existing conditions of items, or items not packed by Mover unless agreed in writing. Mover's total liability for consequential damages is expressly disclaimed to the fullest extent permitted by law.

Either party may terminate this Agreement for cause upon material breach by the other party if such breach remains uncured for a period of following written notice. Termination by Client without cause may result in forfeiture of deposit and charges for services performed to date.

Confidentiality

Each party shall keep confidential all proprietary information of the other party that is disclosed in connection with this Agreement and shall not disclose such information to third parties except as required to perform the obligations under this Agreement or as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, governmental action, labor disputes, or transportation interruptions. The affected party shall promptly notify the other and use commercially reasonable efforts to resume performance.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located within that state.

Entire Agreement and Amendments

This Agreement, including any written attachments or inventories signed by the parties, constitutes the entire agreement between Client and Mover with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.
