What a Moving and Hauling Agreement Covers

A Moving and Hauling Agreement is a written contract that defines the services, responsibilities, and limits of liability between a carrier (mover/hauler) and a shipper (customer). It typically specifies scope of work, pickup and delivery windows, pricing and payment terms, inventory or bill of lading, insurance and damage claims, storage conditions, equipment used, and termination rights. When executed properly the agreement documents carrier obligations and customer instructions and can be enforced in contract disputes. Electronic execution is generally valid under the ESIGN Act (15 U.S.C. ch. 96) and UETA where applicable.

Why a Clear Agreement Matters for Moving and Hauling

A well-drafted agreement reduces operational disputes by assigning clear responsibilities, establishing rates and insurance coverage, and setting claims procedures. It creates predictable liability limits, clarifies delivery expectations, and records acceptance of special handling needs. The document can be signed electronically using platforms such as signNow in a manner consistent with ESIGN and UETA for enforceability.

Why a Clear Agreement Matters for Moving and Hauling

Who Typically Prepares and Signs This Agreement

The agreement is used by commercial and consumer parties whenever goods or household items are transported, stored, or moved.

  • Professional moving companies and independent haulers that transport household or commercial goods
  • Property managers and landlords arranging tenant relocations or on-site moves
  • Businesses and logistics managers contracting third-party haulers for deliveries and temporary storage

Use the correct party names and authorized signers to avoid disputes and support insurance or regulatory claims.

Typical Signatory Roles

Mover / Carrier

The carrier is the contracting business that performs pickup, transport, and delivery. Their authorized representative must sign, provide insurance details, and disclose any carriers’ limits of liability or tariff references in writing.

Customer / Shipper

The customer is the individual or business who owns the goods. The signer should be an authorized representative who confirms inventory, special handling instructions, payment terms, and acceptance of carrier terms.

Core Elements to Include in a Professional Agreement

Include clear, enforceable provisions that cover operational details, financial terms, and risk allocation so both parties understand obligations and remedies.

Scope of Work

Describe services (loading, hauling, unloading, storage), special handling, and any exclusions so responsibilities are unambiguous and measurable.

Rates & Payment

List base price, hourly or flat rates, deposits, accepted payment methods, late fees, and who pays tolls or permits to avoid billing disputes.

Inventory & Condition

Attach an itemized inventory or bill of lading and include pre-move condition notes and signatures for accountability at pickup and delivery.

Insurance & Liability

Specify coverage limits, required certificates, declared value procedures, and any carrier liability caps or disclaimers of certain damage types.

Storage & Delays

State storage conditions, daily storage rates, access rules, and remedies for delayed delivery or storage overages.

Dispute Resolution

Include governing law, venue, and whether claims go to arbitration or courts, plus notice and cure periods for breaches.

Security and Legal Controls to Document

Encryption: AES-256 at rest
Transport Security: TLS 1.2/1.3 in transit
Audit Trail: Timestamped signing records
Regulatory Coverage: ESIGN and UETA compliant
Privacy Standards: HIPAA support with BAA

Key Timing and Deadlines to Include

Document explicit dates and windows so service teams and customers have a shared schedule and clear milestones for acceptance and claims.

Estimate Acceptance Deadline:

Specify last date for customer approval before rates may change.

Deposit Due Date:

Record when deposit must be paid to secure booking.

Pickup Window:

Define earliest and latest allowable pickup dates.

Delivery Window:

State expected delivery range and penalties for missed windows.

Claims Notice Period:

Specify how long after delivery a damage claim must be reported.

Milestones from Quote to Final Delivery

Arrange milestones sequentially so teams can track progress and trigger downstream actions like invoicing or storage.

01

Quote Issued

Document and date the initial estimate provided to the customer.

02

Booking Confirmed

Receive deposit and lock pickup and delivery windows.

03

Pickup Completed

Carrier completes loading and obtains customer signature on inventory.

04

Delivery Completed

Carrier unloads and obtains delivery acceptance signature.

Common Preparation Mistakes to Avoid

  • Failing to list all items or note pre-existing damage increases disputes and can reduce claim recoveries.
  • Using vague payment terms such as 'reasonable charges' leads to late-payment disputes and collection issues.
  • Omitting insurance limits or declared value procedures can leave customers without recovery options for high-value items.
  • Not specifying pickup/delivery windows or access restrictions results in missed appointments and unexpected fees.

Key Risks and Contractual Penalties

Loss or Damage: Carrier liability for goods
Late Delivery: Customer remedies or fee reductions
Undeclared Value: Limited recovery if not declared
Insurance Gaps: Carrier or shipper uninsured exposure
Regulatory Fines: Improper cargo handling penalties
Payment Default: Late fees and collection costs

Real-World Examples of Use

Two concise examples show how organizations apply moving and hauling agreements in practice.

Martin Properties

For tenant relocations across properties Martin Properties standardized agreements to avoid repeated on-site signatures.

  • They replaced paper forms with digital execution.
  • "I can process and execute all of these documents online with 100% compliance and built-in security. Whether on mobile or working offline, I can get forms back to their necessary parties efficiently," Tim Martin, Founder.

Optica Ventures LLC

A small logistics operator used standardized hauling contracts for subcontracting loads to local carriers.

  • This reduced onboarding time for subcontractors.
  • "The interface is simple and easy-to-use for our team; more importantly, it is just as easy for our customers," Brian Fitzgibbons, COO.

Practical Tips for Accurate, Efficient Agreements

Adopt consistent templates, require essential fields, and combine electronic execution with clear retention policies to reduce disputes and processing time.

Use a Standard Template
Create a master template that includes required insurance, inventory, and payment clauses so each new job only needs variable data filled in.
Require Signed Inventory
Collect signatures on an itemized inventory at pickup and delivery; this is primary evidence for damage or loss claims.
Specify Governing Law
Name the governing state and venue to reduce ambiguity in dispute resolution and align with local regulatory expectations.
Keep Executed Copies
Store signed PDFs with audit trails in encrypted archives and retain them according to retention schedules for claims and audits.
