MOVING POLICY AND AGREEMENT

WHEREAS

WHEREAS, the Company has established a policy to provide relocation assistance to eligible employees in connection with a required change of work location; and

WHEREAS, the Employee has accepted or been offered employment that requires relocation and has requested relocation assistance under the terms described herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein the parties agree as follows.

SCOPE OF RELOCATION ASSISTANCE

The Company agrees to provide relocation assistance to the Employee for reasonable and pre-approved moving expenses as set forth below. The scope of services, limits, and any service providers to be used must be approved in writing by the Company prior to the commencement of moving services.

ELIGIBILITY AND APPROVAL

Eligibility for relocation assistance is limited to employees whose relocation assignment is approved in writing by an authorized Company representative. Pre-approval is required for all expenses. The Employee must submit a written request for relocation assistance and receive an executed approval before incurring reimbursable expenses.

COVERED EXPENSES

The Company will cover the following categories of expenses when pre-approved: packing and loading, transportation of household goods, temporary lodging, shipment of a vehicle (if applicable), and reasonable storage costs up to the maximums approved.

If the Employee voluntarily terminates employment or is terminated for cause within the repayment period following the relocation, the Employee agrees to reimburse the Company for relocation payments on a pro rata basis as set forth below.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if such breach remains uncured after the expiration of the notice period set forth above. Termination shall not relieve the Employee of any repayment obligations set forth in this Agreement.

CONFIDENTIALITY

The Employee acknowledges that the terms of this Agreement and any related relocation arrangements are confidential Company information. The Employee shall not disclose the terms or amounts to third parties except to the extent required by law or to the Employee's professional advisors who are bound to maintain confidentiality.

RISK, INSURANCE, AND LIABILITY

The Company is not responsible for loss or damage to personal property beyond the insurance provided by the selected carrier. Any claims for loss or damage must be made directly against the carrier in accordance with the carrier's claims procedures; the Company will cooperate with reasonable claim submission processes.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any written approvals or addenda referenced herein, constitutes the entire agreement between the parties concerning relocation assistance and supersedes all prior negotiations, representations, and agreements, whether oral or written. Any amendment must be in writing and signed by an authorized representative of the Company and the Employee.

MISCELLANEOUS PROVISIONS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver: No waiver of any breach shall be deemed a waiver of any subsequent breach. Notices: Notices shall be provided in writing to the addresses on file for each party.
