MOVING SERVICES AGREEMENT

This Moving Services Agreement (the Agreement) is entered into as of by and between Client Name: and Mover Name: .

WHEREAS

WHEREAS, Client desires to engage Mover to provide packing, loading, transportation and unloading services in connection with the relocation described in this Agreement; and

WHEREAS, Mover represents that it possesses the skill, personnel, equipment and authority necessary to perform such moving services in a professional manner and in accordance with the terms set forth herein.

SCOPE OF WORK

Mover shall provide moving services including packing, transportation, loading, unloading and any ancillary services expressly requested by Client and agreed to in writing. Services to be provided are described below and shall be performed at the locations and within the timeframes set forth in this Agreement.

PAYMENT TERMS

Client agrees to pay Mover the total sum specified below in exchange for the moving services described. Payment amounts and schedule are as follows.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon delivery of written notice to the other party at least days prior to the effective termination date. Termination for cause may be immediate where the non‑breaching party provides written notice and the breaching party fails to cure within 7 days of receipt of such notice.

INSURANCE, LIABILITY AND VALUATION

Client acknowledges that Mover's liability for loss or damage to goods is limited unless Client declares a higher monetary value and pays any additional charge for declared valuation. Mover's standard released value liability is set at $ per pound per item unless otherwise agreed in writing.

Claims for loss or damage must be reported in writing to Mover within 7 days of delivery; hidden damage claims must be reported within 30 days. Failure to provide timely written notice shall bar recovery to the extent permitted by law.

CONFIDENTIALITY

Each party shall maintain in confidence all confidential or proprietary information of the other party disclosed in connection with this Agreement. Confidential information shall not include information that is or becomes public through no fault of the receiving party, is already lawfully known to the receiving party, or is required to be disclosed by law. Confidential information may be disclosed to employees, subcontractors or agents on a need‑to‑know basis provided that such persons are bound by confidentiality obligations no less protective than those set forth herein.

INDEMNIFICATION

Client shall indemnify, defend and hold harmless Mover, its officers, agents and employees from and against any and all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Client's negligence, failure to disclose material facts regarding goods to be moved, or breach of this Agreement. Mover shall indemnify Client for losses arising solely from Mover's gross negligence or willful misconduct.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform to the extent that such delay or failure is caused by events beyond its reasonable control, including acts of God, government action, labor disputes, strikes, civil unrest, or severe weather; provided that the affected party gives prompt written notice to the other party and uses commercially reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attached estimates, addenda or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No modification of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an agency, partnership or employment relationship.
