RECITALS

WHEREAS, Client requires professional moving services for the relocation of household or commercial goods from the Premises described in the Scope of Work; and

WHEREAS, Mover is duly licensed, insured, and experienced in the provision of moving, handling, loading and transportation services and agrees to provide such services under the terms and conditions set forth in this Contract; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

Either party may terminate this Contract for convenience upon written notice of days to the other party. Termination for material breach shall be effective immediately if the breaching party fails to cure the breach within days after written notice.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public business information obtained from the other party in connection with this Contract and shall not disclose such information except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that is independently developed, becomes public through no fault of the recipient, or is rightfully received from a third party without restriction.

LIABILITY, INSURANCE & CLAIMS

Mover represents that it maintains commercial general liability and motor vehicle insurance coverage sufficient to perform the Services. Mover’s maximum liability for loss or damage to Client property shall not exceed unless higher valuation coverage is selected in writing and additional charges are paid. Claims for loss or damage must be submitted in writing within days of delivery.

CLIENT RESPONSIBILITIES

Client shall ensure access, parking, and safe loading/unloading areas at pickup and delivery locations, and shall remove all hazardous materials or perishable goods prior to move. Client shall provide accurate inventory and notify Mover of any required special handling.

FORCE MAJEURE

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, government action, strikes, epidemics, acts of terrorism, or severe weather. The affected party shall notify the other party promptly of any event of force majeure.

GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute arising under this Contract shall lie exclusively in the state or federal courts located in that state.

ENTIRE AGREEMENT

This Contract, including any attachments, addenda, and invoices expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
