MOVING STORAGE AGREEMENT

RECITALS

WHEREAS, Client requires secure moving and storage services for personal property and goods described herein; and

WHEREAS, Provider is engaged in the business of moving, handling, packing and storing household or commercial goods and has agreed to provide such services to Client under the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the moving, storage, handling, access, and return of Client's property.

SCOPE OF WORK

PAYMENT TERMS

Payment is due in accordance with the Billing Cycle. Unpaid amounts accrue interest and may result in suspension of access to stored goods and exercise of Provider's statutory lien for unpaid charges, including costs of sale. Client is responsible for all collection costs and reasonable attorneys' fees for recovery of unpaid balances.

Either party may terminate this Agreement by providing written notice to the other party in accordance with the Notices provision. Upon termination, Client shall pay all charges due through the date of removal of goods and shall arrange prompt removal of goods within the period specified in the termination notice. If Client fails to remove goods, Provider may exercise its lien rights and may sell or otherwise dispose of stored goods in compliance with applicable law after providing required notice.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information and personal information of the other party obtained in connection with this Agreement and shall not disclose such information except (a) as necessary to perform obligations under this Agreement, (b) to employees, contractors and insurers who need to know and who are bound to confidentiality, or (c) as required by law. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement.

LIABILITY, INSURANCE & VALUATION

Provider's liability for loss or damage to Client's goods while in Provider's possession or control is limited to actual documented loss or damage caused by Provider's negligence, subject to the limits and exclusions set forth in this Agreement. Provider does not accept responsibility for damage caused by inherent vice, gradual deterioration, acts of God, vermin, or pre-existing defects.

ACCESS, KEYS AND SECURITY

Client shall be provided with keys or access credentials as noted below. Client shall not alter locks or security devices without Provider's written consent. Provider is not responsible for loss of keys or unauthorized use if Client fails to secure keys or credentials.

INDEMNIFICATION

Client agrees to indemnify and hold harmless Provider, its affiliates, officers, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, negligence, or willful misconduct, except to the extent caused by Provider's gross negligence or willful misconduct.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered in person, by certified mail, or by commercial courier to the notice addresses set forth above and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles.

ENTIRE AGREEMENT

This Agreement, including any schedules, inventories, declarations of value and written amendments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any modification must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute waiver of any subsequent breach. The parties agree to attempt to resolve disputes in good faith prior to pursuing legal remedies.
