MSA SERVICE CONTRACT EXTENSION

This Master Services Agreement Service Contract Extension ("Extension") is entered into as of Effective Date: by and between Client Name: with principal place of business at , and Service Provider Name: with principal place of business at . Client and Service Provider are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, the Parties entered into that certain Master Services Agreement dated (the "MSA"), which sets forth terms and conditions governing the provision of services by Service Provider to Client; and

WHEREAS, the Parties desire to extend the term of the MSA and to amend certain provisions as set forth herein in order to continue services without interruption and to clarify payment and performance obligations; and

WHEREAS, capitalized terms used but not otherwise defined in this Extension have the meanings assigned to them in the MSA.

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties agree as follows:

1. EXTENSION OF TERM

1.1 Extension. The Term of the MSA is extended such that the Agreement shall now expire on New Expiration Date: unless earlier terminated in accordance with the MSA. All references to the "Term" or "Expiration Date" in the MSA shall be deemed amended accordingly.

1.2 Interim Extension Option. The Parties may elect to extend the Term for successive renewal periods of months each by mutual written agreement executed prior to the then-current expiration date.

2. AMENDMENT TO FEES AND RATES

2.1 Fees. Effective as of Fee Effective Date: , the fees for Services shall be amended as set forth below. Any previous fee schedules inconsistent with the terms below are superseded to the extent of such inconsistency.

2.2 Invoices and Interest. All invoices shall be subject to the payment terms set forth in the MSA. Late payments shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by applicable law.

3. SCOPE OF SERVICES

3.1 No Reduction of Obligations. Except as expressly modified by this Extension, the Service Provider's obligations and Client's obligations under the MSA remain in full force and effect.

4. INSURANCE, INDEMNITY AND COMPLIANCE

4.1 Insurance. During the extended Term, Service Provider shall maintain insurance coverage no less than that required by the MSA and shall provide certificates of insurance upon request. Any change to coverage shall not materially reduce protection provided to Client.

4.2 Indemnity and Compliance. All indemnity, compliance and regulatory obligations in the MSA remain unchanged and binding on the Parties during the extension period.

5. TERMINATION; EFFECT OF TERMINATION

5.1 Termination Rights. Either Party may terminate the MSA during the extended Term in accordance with the termination provisions set forth in the MSA. Termination for convenience shall be governed by the notice and cure provisions contained in the MSA, subject to any specific changes set forth in this Extension.

5.2 Accrued Obligations. Termination shall not relieve either Party of obligations accrued prior to termination, including payment for Services performed and expenses incurred.

6. CONFIDENTIALITY

6.1 Continued Confidentiality. Confidentiality obligations set forth in the MSA shall survive and remain in full force throughout the extended Term and as otherwise provided in the MSA. No disclosure of Confidential Information shall be authorized except as expressly permitted by the MSA.

7. NOTICES

7.1 Addresses for Notices. All notices required or permitted under this Extension shall be sent to the addresses set forth below or to such other address as a Party may designate by written notice in accordance with this Section.

8. REPRESENTATIONS

8.1 Mutual Representations. Each Party represents and warrants that (a) it has full corporate power and authority to enter into this Extension; (b) the person signing on its behalf is duly authorized; and (c) the execution, delivery and performance of this Extension does not violate any material agreement to which it is a party.

9. GOVERNING LAW; VENUE

9.1 Governing Law. This Extension shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

9.2 Venue. The Parties submit to the exclusive jurisdiction of the state and federal courts located in , for any action arising out of or related to this Extension.

10. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY; WAIVER; COUNTERPARTS

10.1 Entire Agreement. This Extension, together with the MSA and any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations and agreements, whether written or oral, relating to such subject matter.

10.2 Amendment and Waiver. Any amendment or modification of this Extension must be in writing and executed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver.

10.3 Severability. If any provision of this Extension is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that comes closest to the Parties' original intent.

10.4 Counterparts. This Extension may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic means such as PDF or electronic signature shall be effective as delivery of an original.

11. MISCELLANEOUS PROVISIONS

11.1 No Other Modifications. Except as expressly amended by this Extension, all other terms and conditions of the MSA remain unchanged and in full force and effect. In the event of any conflict between the terms of this Extension and the MSA, the terms of this Extension shall govern.
