GRANT OF RIGHTS / RELEASE

Participant hereby grants Producer/Company, its licensees, successors and assigns, an irrevocable, perpetual, worldwide, transferable, sublicensable, royalty-free right and license to record, reproduce, edit, distribute, display and otherwise use Participant's name, likeness, voice, performance, biographical material and other contributions in connection with the Project and any ancillary content in any and all media now known or hereafter devised.

Participant acknowledges and agrees that Producer/Company may edit, modify, adapt, translate or otherwise change the Contribution and may combine the Contribution with other content. Participant waives any right to inspect or approve the finished product, including copy that may be used in connection therewith.

Release of Claims: Participant releases Producer/Company from any and all claims, demands, actions, and causes of action, whether known or unknown, for invasion of privacy, defamation, right of publicity, or any similar claim arising out of the use of the Contribution as permitted by this agreement.

CONFIDENTIALITY

Unless otherwise agreed in writing, Participant shall not disclose any material non-public information obtained in connection with the Project. Producer/Company may designate certain materials as confidential; disclosure or use of such material outside the scope of this agreement is prohibited.

TERM AND TERMINATION

Either party may terminate this agreement for material breach by the other party upon written notice and a cure period of days. Termination shall not affect Producer/Company's rights to use Contributions created prior to termination.

INDEMNITY

Participant agrees to indemnify, defend and hold harmless Producer/Company from and against any and all claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Participant's breach of any warranty, representation or agreement contained in this Release.

MINOR PARTICIPANT

Participant is over the age of majority:    If Participant is under 18 years of age, a parent or legal guardian must execute this Release on Participant's behalf and consent to the terms herein.

MISCELLANEOUS

Governing Law: This Release shall be governed by and construed in accordance with the laws of the state specified by Producer/Company, without regard to conflict of law principles.

Entire Agreement: This Release constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment must be in writing and signed by both parties.

REPRESENTATIONS AND WARRANTIES

Participant represents and warrants that Participant has full legal capacity to enter into this Release, that Participant's performance under this Release will not violate any other agreement, and that Participant's Contribution is original and does not infringe the rights of any third party.
