MUNICIPAL PROMISSORY NOTE

This Municipal Promissory Note (the Note) is made and entered into as of by and between the Issuer and the Payee identified below.

Parties

WHEREAS, the Issuer is a duly constituted municipal corporation organized and existing under the laws of the applicable jurisdiction and is authorized under its charter and applicable law to issue short-term debt obligations for municipal purposes, including the purpose described below (Authority: );

WHEREAS, the Issuer has determined that it is necessary and in the public interest to borrow funds for the purpose of financing or refinancing the project described below and to evidence such borrowing by this Note;

WHEREAS, the Payee has agreed to advance funds to the Issuer and the Issuer agrees to repay such funds in accordance with the terms set forth in this Note.

Scope of Financing

Use of Proceeds: The proceeds of this Note shall be used exclusively for the following municipal purpose. The Issuer represents that the use is authorized under applicable law and will be expended consistent with the budget and the purpose stated.

Principal and Interest

For value received, the Issuer promises to pay to the order of the Payee the principal sum of dollars, together with interest on the unpaid principal balance at the rate of per annum, computed on the basis of a 365-day year and actual days elapsed unless otherwise specified herein.

Interest shall be payable in lawful money of the United States to the Payee at the address set forth above or at such other place as the Payee may designate in writing. Principal and accrued interest shall be due and payable in full on the Maturity Date set forth below.

Term and Repayment

This Note shall be issued on the Issuance Date and shall mature on (the Maturity Date). The Issuer shall make payment of principal and accrued interest in accordance with the schedule set forth above. Principal may be prepaid in whole or in part at any time without premium unless otherwise provided in this Note.

Default and Remedies

The occurrence of any of the following shall constitute an Event of Default: (a) failure by the Issuer to pay principal or interest when due and such failure continues for a period of ten (10) days after written notice; (b) insolvency or appointment of a receiver for the Issuer; or (c) breach by the Issuer of any material representation, warranty or covenant contained in this Note which remains uncured for thirty (30) days after notice.

Upon the occurrence of an Event of Default, the Payee may declare the entire unpaid principal and accrued interest immediately due and payable and pursue any and all remedies available at law or in equity. The Issuer agrees to pay all reasonable costs of collection, including attorneys' fees, incurred by the Payee in enforcing its rights under this Note.

Confidentiality

The parties agree that any non-public financial information and documentation exchanged in connection with this Note shall be kept confidential by the receiving party and shall not be disclosed to any third party except as required by law, regulation, or valid court order; provided, however, that either party may disclose such information to its legal counsel, auditors, or financial advisors subject to confidentiality obligations.

Tax Status and Representations

The Issuer represents that this Note is being issued for a proper municipal purpose and that payments of interest on this Note are entitled to the treatment claimed by the Issuer under applicable tax law. The Issuer shall provide such certificates or opinions of counsel as the Payee may reasonably request to confirm tax status.

Governing Law

This Note shall be governed by and construed in accordance with the laws of the state in which the Issuer is located, without regard to rules governing choice of law.

Assignment and Transfer

This Note is negotiable and may be transferred by endorsement and delivery in accordance with applicable commercial law. The Issuer shall be entitled to treat the registered holder as the owner for all purposes until notified in writing of transfer and surrender of this Note as required by law.

Entire Agreement; Amendments

This Note constitutes the entire agreement between the Issuer and the Payee with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements. This Note may be amended only by a written instrument signed by both parties.

Severability; Waiver

If any provision of this Note is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any term or default shall be effective unless in writing and signed by the party granting the waiver.
